All Actor hardware appliances and physical materials shall be delivered to the Bosphorus Digital Solutions A.Ş. facility located in the Beşiktaş district of Istanbul, Turkey. Delivery is scheduled no later than 28 June 2025. The vendor, Actor Technologies International GmbH, is responsible for all international shipping, customs clearance through the Istanbul customs authority, and final delivery to the receiving address in Turkey Istanbul. All Actor software licenses, digital keys, and access credentials shall be transmitted electronically to the designated procurement contact no later than 20 June 2025. On-site implementation and training services for the Actor platform in Turkey Istanbul shall commence on 1 July 2025 and conclude within five (5) business days.
- Payment Method: Wire transfer (SWIFT) to the vendor's designated bank account in Munich, Germany.
- Payment Schedule: 40% advance payment (EUR 105,976.00) due upon acceptance of this Purchase Order; 60% balance (EUR 158,964.00) due within thirty (30) calendar days following successful completion of Actor platform deployment and acceptance testing in Turkey Istanbul.
- Bank Details: Actor Technologies International GmbH, IBAN: DE89 3704 0044 0532 0130 00, BIC: COBADEFFXXX, Bank: Commerzbank AG, Munich.
- Currency: All amounts are denominated in Euro (EUR). Exchange rate risk is borne by the buyer.
- Late Payment: A penalty of 1.5% per month shall apply to any overdue balance, in accordance with Turkish commercial law applicable in Istanbul.
- This Purchase Order is governed by the commercial laws of the Republic of Turkey, with the primary jurisdiction being the courts of Istanbul, Turkey. Any disputes arising from the procurement, delivery, or implementation of Actor products and services shall be resolved under this jurisdiction.
- Actor Technologies International GmbH warrants that all Actor software, hardware, and services delivered under this Purchase Order shall be free from defects in design, materials, and workmanship for a period of twenty-four (24) months from the date of acceptance in Turkey Istanbul.
- The vendor shall ensure full compliance with all applicable Turkish regulations, including but not limited to the Personal Data Protection Law (KVKK), the Turkish Electronic Commerce Law, and all customs and import regulations enforced at the Istanbul port of entry.
- Intellectual property rights for all Actor software, modules, and proprietary technologies remain the exclusive property of Actor Technologies International GmbH. The buyer is granted a non-transferable, non-exclusive license to use the Actor platform solely within the Turkey Istanbul operational environment.
- Either party may terminate this Purchase Order with thirty (30) days written notice in the event of material breach. In such cases, all Actor services and support shall be wound down in an orderly manner, and any pre-paid amounts for undelivered services shall be refunded within fifteen (15) business days.
- All communications regarding this Purchase Order, including change orders, delivery confirmations, and acceptance certificates for the Actor deployment in Turkey Istanbul, shall be conducted in writing via email to the designated contacts listed above.
