1. Scope of Engagement: This Purchase Order authorizes the engagement of the named Actor, Daniel James Whitfield, for the specific services outlined in the table above. The Actor shall perform all duties in accordance with the creative direction of the production team at Al Noor Entertainment Productions LLC. All work shall be conducted within the jurisdiction of Abu Dhabi, United Arab Emirates, in compliance with local entertainment regulations and the Abu Dhabi Media Office guidelines.
2. Payment Schedule: Payment for this Purchase Order shall be made in three installments: 40% (AED 332,850.00) upon execution of this Purchase Order, 40% (AED 332,850.00) upon completion of principal photography, and 20% (AED 166,425.00) upon final delivery of all post-production and promotional obligations. All payments shall be remitted via bank transfer to the account designated by the Actor's management agency, Starlight Talent Agency, held at Emirates NBD Bank, Abu Dhabi branch.
3. Working Hours and Schedule: The Actor shall adhere to a maximum of twelve (12) hours per working day, including breaks, as stipulated under the United Arab Emirates Labour Law and the Abu Dhabi free zone entertainment sector regulations. Overtime beyond the contracted schedule shall be compensated at 1.5 times the daily rate specified in this Purchase Order.
4. Cancellation and Termination: Either party may terminate this Purchase Order with a written notice of fourteen (14) calendar days. In the event of cancellation by the Purchasing Party, the Actor shall be compensated for all services rendered up to the date of termination plus a cancellation fee of 15% of the remaining contract value. In the event of cancellation by the Actor without valid cause, the Actor shall refund all advance payments received.
5. Intellectual Property and Rights: All performances, recordings, and visual materials captured during the engagement under this Purchase Order shall be the exclusive property of Al Noor Entertainment Productions LLC. The Actor grants a perpetual, worldwide, royalty-free license for the use, distribution, and exhibition of the recorded performances in all media formats, including but not limited to theatrical release, streaming platforms, and broadcast television within the United Arab Emirates and internationally.
6. Insurance and Liability: The Purchasing Party shall maintain comprehensive production insurance covering the Actor for the duration of the engagement, including medical, accident, and professional liability coverage, in accordance with the insurance requirements of the Abu Dhabi Department of Culture and Tourism.
7. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Civil Transactions Law and the Abu Dhabi local commercial regulations. Any disputes arising from this Purchase Order shall be resolved through arbitration in Abu Dhabi under the rules of the Abu Dhabi Global Market (ADGM) Arbitration Centre.
8. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the creative content of the production, and any proprietary information exchanged during the engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
