- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the commercial regulations applicable in Dubai. Any disputes arising from this Purchase Order regarding the Actor engagement shall be resolved through the Dubai International Financial Centre (DIFC) Courts or, at the Purchasing Entity's discretion, through arbitration under the DIFC-LCIA Arbitration Rules.
- Actor Availability & Exclusivity: The Supplier guarantees that each Actor named in this Purchase Order shall be exclusively available for the "Desert Horizons" production for the full duration specified. No Actor shall be simultaneously contracted for any other production, commercial, or public appearance in United Arab Emirates Dubai or internationally during the engagement period without prior written consent from Golden Falcon Productions LLC.
- Payment Schedule: Payment for this Purchase Order shall be made in three (3) installments: 40% upon execution of this Purchase Order, 40% upon completion of principal photography, and 20% upon final delivery of all post-production Actor obligations including voice-over sessions and promotional appearances in Dubai.
- Compliance with UAE Regulations: All Actor performances, costumes, and on-set activities must comply with the cultural and legal standards of the United Arab Emirates. The Supplier is responsible for ensuring that each Actor holds valid UAE work permits and that all content adheres to the National Media Council guidelines in force in Dubai.
- Force Majeure: Neither party shall be liable for delays or failures in performance under this Purchase Order caused by events beyond reasonable control, including but not limited to government-mandated shutdowns in United Arab Emirates Dubai, natural disasters, or pandemics. Affected parties must notify the other within 48 hours of the occurrence.
- Confidentiality: All terms of this Purchase Order, including Actor compensation, creative direction, and production schedules, are strictly confidential. The Supplier and all Actors engaged under this Purchase Order shall execute individual Non-Disclosure Agreements prior to commencing work in Dubai.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchasing Entity shall compensate the Supplier for all Actor services rendered up to the termination date, plus a 15% cancellation fee on the remaining contract value.
- Intellectual Property: All performances, recordings, and visual materials captured during the Actor engagement under this Purchase Order shall be the exclusive property of Golden Falcon Productions LLC. The Supplier and Actors grant an irrevocable, worldwide, perpetual license for use in all media formats.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the Actor services to be delivered in United Arab Emirates Dubai. This document constitutes a binding commercial agreement effective from the date of the last signature.
