This Purchase Order is issued by Meridian Stage Productions Ltd. (hereinafter referred to as the Buyer) to formally engage the services of Mr. James A. Whitfield (hereinafter referred to as the Actor) for the principal role of "Arthur Pendelton" in the upcoming theatrical production The Birmingham Inheritance, to be staged at the Alexandra Theatre, Birmingham, United Kingdom. This Purchase Order constitutes a binding agreement for the Actor's professional performance services and shall be governed by the laws of England and Wales within the United Kingdom.
The Actor shall be required to perform in a minimum of forty-two (42) scheduled performances over a twelve-week run, commencing on 22 September 2025 and concluding on 21 December 2025. The Actor's engagement includes all rehearsals, technical dress rehearsals, press appearances, and promotional events associated with the production in Birmingham and the surrounding West Midlands region of the United Kingdom.

All payments under this Purchase Order shall be made in British Pounds Sterling (GBP) via direct bank transfer to the Actor's nominated account. The payment schedule is as follows: a deposit of twenty-five percent (25%) of the total Purchase Order value shall be due within fourteen (14) calendar days of the Actor's written acceptance of this Purchase Order. The remaining seventy-five percent (75%) shall be paid in three equal monthly instalments, due on the last working day of October 2025, November 2025, and December 2025 respectively. Late payments shall attract interest at a rate of two percent (2%) per month, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 applicable in the United Kingdom.
- Performance Obligations: The Actor shall attend all scheduled rehearsals and performances at the Alexandra Theatre, Birmingham, United Kingdom, punctually and in a professional manner. The Actor shall maintain the physical and vocal fitness necessary to fulfil the demands of the role throughout the entire run.
- Substitution: In the event of illness or unforeseen emergency, the Actor shall notify the Buyer's production manager no later than twelve (12) hours before the scheduled performance. The Buyer reserves the right to engage a substitute Actor at no additional cost to the Buyer if the Actor is unavailable for more than three (3) consecutive performances.
- Intellectual Property: All scripts, stage directions, choreography, and production materials remain the exclusive intellectual property of Meridian Stage Productions Ltd. The Actor shall not record, photograph, or publicly distribute any performance footage without prior written consent.
- Insurance: The Buyer shall maintain comprehensive public liability and performance insurance covering the Actor for the duration of the engagement in Birmingham, United Kingdom. The Actor is advised to maintain personal professional indemnity insurance.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the Buyer without cause, the Actor shall be compensated for all performances already completed plus a pro-rata portion of the remaining engagement fee.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- Confidentiality: The Actor agrees to maintain strict confidentiality regarding all production details, scripts, and internal business matters of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Compliance: The Actor warrants that they hold all necessary professional credentials, including a valid Equity membership, and that their engagement under this Purchase Order does not conflict with any prior contractual obligations.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document, once countersigned, shall serve as the definitive record of the commercial agreement between the Buyer and the Actor for the theatrical production in Birmingham, United Kingdom.
