This Purchase Order is issued by Thames Industrial Automation Ltd. for the supply, delivery, and installation of industrial Actor units to be deployed at our primary manufacturing facility located in United Kingdom London. The Actor systems specified below are precision-engineered electromechanical devices designed for high-cycle valve control, pneumatic actuation, and automated process regulation within the United Kingdom London industrial corridor. All Actor units must comply with British Standards (BS EN ISO 13849) and carry full CE marking for use within the United Kingdom London regulatory framework.

5. Delivery & Logistics

All Actor equipment shall be delivered to the following address in United Kingdom London: Thames Industrial Automation Ltd., Unit 7, Docklands Business Park, 188 Rotherhithe Street, London SE16 5FQ, United Kingdom. Delivery is scheduled for the week commencing 4 August 2025. The supplier shall bear all freight, insurance, and customs clearance costs up to the point of delivery in United Kingdom London. Goods must be packaged in accordance with ISO 12048 for industrial equipment transport. A minimum of 72 hours' written notice of dispatch must be provided to the buyer's logistics coordinator in United Kingdom London prior to the Actor shipment departing the supplier's facility.

6. Payment Terms

Payment for this Purchase Order shall be made in accordance with the following schedule: 30% advance payment upon confirmation of this Purchase Order; 50% upon verified delivery of all Actor units to the United Kingdom London site; and the remaining 20% upon successful commissioning and sign-off of the Actor systems. All payments shall be made via bank transfer to the supplier's designated account in GBP. Invoices must reference this Purchase Order number (PO-UKL-2025-04782) and be submitted to the accounts payable department in United Kingdom London no later than 14 days following the applicable milestone.

7. Terms and Conditions

1. This Purchase Order constitutes a binding agreement between the parties upon written acceptance by the supplier. All terms are governed by the laws of England and Wales, applicable within the United Kingdom London jurisdiction.
2. All Actor units must be new, unused, and of current production. No refurbished or reconditioned Actor components shall be accepted under this Purchase Order.
3. The supplier warrants that all Actor equipment shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of installation in United Kingdom London.
4. Any deviation from the specifications listed in Section 4 of this Purchase Order must be approved in writing by the buyer's engineering team in United Kingdom London prior to manufacture or shipment.
5. The supplier shall provide full technical documentation, including wiring diagrams, maintenance schedules, and spare parts lists for each Actor unit, in English, no later than the date of delivery in United Kingdom London.
6. Force majeure events, including but not limited to port strikes in United Kingdom London, shall extend delivery timelines by the duration of the event, provided written notice is given within 48 hours.
7. Disputes arising from this Purchase Order shall be resolved by arbitration in London, United Kingdom, in accordance with the rules of the London Court of International Arbitration (LCIA).
