Terms and Conditions of This Purchase Order

1. Acceptance: This Purchase Order constitutes a binding offer by Lakeshore Media & Production Group, LLC to purchase the Actor products and services listed above. Actor Technologies & Talent Solutions, Inc. shall confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
2. Delivery: All Actor hardware items shall be delivered to the buyer's facility at 1420 North Michigan Avenue, United States Chicago, IL 60610, no later than July 15, 2025. Software licenses and service engagements shall be activated no later than the same date. Late delivery beyond ten (10) business days entitles the buyer to a 2% per week penalty on the affected line items.
3. Payment Terms: Net 45 days from the date of invoice. Payment shall be made via wire transfer to the bank account designated by Actor Technologies & Talent Solutions, Inc. All payments are denominated in United States Dollars (USD). The buyer reserves the right to withhold payment for any line item not delivered in accordance with this Purchase Order.
4. Warranty: Actor warrants that all hardware delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery in United States Chicago. Software licenses carry a twelve (12) month warranty against material non-conformity.
5. Intellectual Property: All Actor proprietary software, documentation, and methodologies remain the exclusive intellectual property of Actor Technologies & Talent Solutions, Inc. The buyer is granted a non-transferable, non-exclusive license to use the Actor platform solely for internal production operations within United States Chicago and its affiliated facilities.
6. Compliance: Both parties agree to comply with all applicable federal, Illinois state, and United States Chicago municipal regulations governing the procurement of technology services and talent management solutions. Actor shall maintain all necessary business licenses and permits to operate in the United States Chicago metropolitan area.
7. Confidentiality: All information exchanged under this Purchase Order, including production schedules, actor talent rosters, and financial data, shall be treated as strictly confidential by both parties for a period of three (3) years following the completion of all services.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Chicago, IL, in accordance with the rules of the American Arbitration Association.
9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions affecting United States Chicago operations, or widespread supply chain disruptions impacting Actor's ability to fulfill this Purchase Order.
10. Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both Lakeshore Media & Production Group, LLC and Actor Technologies & Talent Solutions, Inc.
