The Buyer, Gulf Coast Productions LLC, shall issue payment via wire transfer to the account designated by the Actor's agency.

• Advance Payment (30%): $87,082.50 – Due within five (5) business days of mutual execution of this Purchase Order.
• Mid-Production Payment (40%): $116,110.00 – Due upon completion of day 25 of principal photography.
• Final Payment (30%): $87,082.50 – Due within ten (10) business days following the Actor's final delivery of all performance obligations, including post-production work.

Late payments shall accrue interest at a rate of 1.5% per month, calculated from the due date. All amounts are denominated in United States Dollars (USD). The Actor shall provide a valid W-9 form and, where applicable, a 1099-NEC reporting acknowledgment prior to the disbursement of any funds under this Purchase Order.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States Houston jurisdiction. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Houston, Texas, in accordance with the rules of the American Arbitration Association.
2. Actor Obligations: The Actor agrees to perform all duties with professional diligence, to adhere to the production schedule, to maintain physical and mental fitness for the role, and to comply with all safety protocols on the United States Houston filming set. The Actor shall not engage in any public conduct that would materially damage the reputation of the production.
3. Exclusivity: During the term of this Purchase Order, the Actor shall not accept competing acting engagements that would conflict with the production schedule without prior written consent from the Buyer.
4. Intellectual Property: All performances, recordings, and visual materials captured during the execution of this Purchase Order shall be the exclusive property of Gulf Coast Productions LLC. The Actor grants an irrevocable, worldwide, perpetual license for the use, distribution, and exploitation of the performance.
5. Insurance: The Actor shall maintain personal accident and health insurance throughout the duration of this Purchase Order. The Buyer shall carry comprehensive production liability insurance covering all on-set activities in United States Houston.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Actor shall be compensated for all days worked plus a pro-rata portion of the remaining contract value. Termination for cause (material breach, failure to perform) shall entitle the non-breaching party to seek damages.
7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government mandates, or labor strikes affecting the United States Houston area.

Any off-location shoots within the greater United States Houston metropolitan area (including but not limited to the Galveston, Katy, and Sugar Land districts) shall be considered within the standard performance radius and shall not incur additional travel charges.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This Purchase Order becomes effective upon the date of the last signature. No modification of this Purchase Order shall be valid unless made in writing and signed by both parties.
