This Purchase Order is issued by Golden Horizon Productions, LLC for the engagement of a professional Actor to perform in the feature film production titled "Midnight in the Valley", scheduled for principal photography in the United States Los Angeles metropolitan area. The Actor shall be responsible for attending all scheduled rehearsals, table reads, on-set filming, and any required post-production sessions including voice-over recording and performance capture sessions as directed by the production team.

4.1 This Purchase Order constitutes a binding agreement between Golden Horizon Productions, LLC (hereinafter "Buyer") and Westwood Talent Management Group, Inc. (hereinafter "Seller") for the procurement of Actor services as described herein. All terms are governed by the laws of the State of California and the federal laws of the United States.
4.2 The Actor named under this Purchase Order shall report to the production office at 10:00 AM Pacific Time on the first scheduled shooting day. Failure to report without prior written notice to the Buyer shall result in a penalty of 10% of the daily rate per hour of delay, up to a maximum of 50% of the daily rate.
4.3 All performance obligations under this Purchase Order shall be fulfilled within the United States Los Angeles metropolitan area, specifically at the studio facilities designated by the Buyer. The Actor shall not be required to travel outside the Los Angeles County boundaries unless mutually agreed upon in a written amendment to this Purchase Order.
4.4 Payment terms: Net 30 days from the date of invoice submission. The Seller shall submit itemized invoices at the conclusion of each production phase (rehearsal, principal photography, post-production). Late payments shall accrue interest at a rate of 1.5% per month.
4.5 The Actor shall maintain full SAG-AFTRA union membership throughout the duration of this Purchase Order. Any lapse in union standing shall be grounds for immediate termination of this Purchase Order without penalty to the Buyer.
4.6 Intellectual property rights: All performances, recordings, and visual materials captured during the engagement under this Purchase Order shall be the exclusive property of Golden Horizon Productions, LLC. The Actor grants an irrevocable, perpetual, worldwide license for use in all media, now known or hereafter devised.
4.7 Cancellation: Either party may cancel this Purchase Order with a minimum of fourteen (14) calendar days written notice. In the event of cancellation by the Buyer after the Actor has commenced work, the Buyer shall compensate the Actor for all days worked plus a cancellation fee equal to 20% of the remaining contract value.
4.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, natural disasters, government mandates, or other events beyond reasonable control, provided that written notice is given within 48 hours of the occurrence.
4.9 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Los Angeles, California, United States, in accordance with the rules of the American Arbitration Association.
