3.1 Payment Terms: Payment for this Purchase Order shall be made in three installments: 40% upon execution of this document, 40% upon completion of principal photography, and 20% upon final delivery of all Actor performance materials. All payments shall be processed via wire transfer to the account designated by the Actor's agency, South Florida Talent Agency Inc., located in United States Miami.
3.2 Performance Period: The Actor shall be engaged for a total period of thirty (30) calendar days commencing July 1, 2025, and concluding July 30, 2025. All filming, rehearsals, and promotional activities shall take place within the United States Miami metropolitan area unless otherwise agreed in writing.
3.3 Cancellation Policy: Either party may cancel this Purchase Order with a minimum of fourteen (14) days written notice. In the event of cancellation by the purchasing entity, the Actor shall be compensated for all services rendered up to the date of cancellation plus a 15% penalty fee on the remaining balance.
3.4 Intellectual Property: All performance materials, recordings, and footage featuring the Actor shall be the exclusive property of Biscayne Bay Productions LLC. The Actor grants a perpetual, worldwide license for use in all media formats. The Actor retains the right to display the work in personal portfolios and professional reels.
3.5 Insurance and Liability: The purchasing entity shall maintain comprehensive production insurance covering the Actor for the duration of the engagement in United States Miami. The Actor shall be covered under the production's workers' compensation policy as required by Florida state law.
3.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising from this agreement shall be resolved through binding arbitration in Miami-Dade County, United States Miami, in accordance with the rules of the American Arbitration Association.
3.7 SAG-AFTRA Compliance: The engagement of the Actor under this Purchase Order is subject to the terms of the applicable SAG-AFTRA Basic Agreement. All compensation, working conditions, and credit provisions shall comply with the union contract in effect as of the date of this Purchase Order.
All deliverables associated with this Purchase Order, including but not limited to completed performance footage, voice-over recordings, and promotional appearance confirmations, shall be delivered to the production office of Biscayne Bay Productions LLC at 1200 Brickell Avenue, Suite 2400, Miami, Florida 33131, United States. Acceptance of deliverables shall be confirmed in writing by the Production Supervisor within five (5) business days of receipt. Failure to confirm acceptance within this period shall constitute deemed acceptance of the Actor's services.
This Purchase Order is authorized and executed on behalf of the parties identified above. By signing below, both the purchasing entity and the Actor (or the Actor's authorized representative) acknowledge and agree to all terms, conditions, and obligations set forth in this document for the engagement of Actor services in United States Miami.
