- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York and all applicable federal laws of the United States. All disputes arising from this Purchase Order related to Actor services performed in United States New York City shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. The first installment of fifty percent (50%) of the total Purchase Order value shall be due upon execution of this document. The remaining fifty percent (50%) shall be payable upon satisfactory completion of all Actor obligations as defined herein.
- Performance Location: All services rendered under this Purchase Order shall take place at designated locations within United States New York City, including but not limited to the primary soundstage at 450 West 42nd Street, Manhattan, and various on-location sites throughout the five boroughs as scheduled by the production.
- Actor Obligations: The Actor agrees to be available for all scheduled shooting days, rehearsals, and promotional events as specified. The Actor shall maintain professional conduct on and off set, comply with all safety protocols, and adhere to the production schedule established by Empire State Pictures LLC.
- Cancellation and Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of cancellation by the purchasing entity, the Actor shall be compensated for all services rendered up to the date of termination plus a cancellation fee equal to twenty-five percent (25%) of the remaining Purchase Order balance.
- Intellectual Property: All performances, recordings, and promotional materials created by the Actor under this Purchase Order shall be the exclusive property of Empire State Pictures LLC. The Actor grants a perpetual, irrevocable, worldwide license to use all such materials in connection with the distribution and marketing of the film.
- Compliance: The Actor and the service provider shall comply with all applicable New York City labor laws, including but not limited to the New York City Earned Income Act, minimum wage ordinances, and all regulations enforced by the New York State Department of Labor.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated shutdowns in United States New York City, or acts of war.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the production details, and any proprietary information exchanged in connection with the Actor's engagement.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Actor services to be performed in United States New York City. This document constitutes a binding agreement between the parties upon full execution.
