- Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Supplier. The Actor engagement is contingent upon successful background checks and SAG-AFTRA clearance within the United States.
- Performance Location: All filming, rehearsals, fittings, and promotional events under this Purchase Order shall be conducted in or around United States San Francisco, including but not limited to the downtown studio complex, the Embarcadero waterfront, and the North Beach district.
- Payment Schedule: 40% of the total Purchase Order amount shall be due upon execution of this document. 40% shall be due upon completion of principal photography. The remaining 20% shall be due within thirty (30) calendar days following the final promotional appearance in San Francisco.
- Actor Availability: The contracted Actor shall remain exclusively available to Golden Gate Productions, Inc. for the duration of the production schedule. Any cancellation or rescheduling must be communicated no fewer than seventy-two (72) hours in advance.
- Intellectual Property: All footage, recordings, and promotional materials featuring the Actor shall be the exclusive property of Golden Gate Productions, Inc. The Actor grants a worldwide, perpetual license for use in all media formats.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes shall be resolved through binding arbitration in San Francisco, California.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, pandemics, or governmental restrictions affecting operations in United States San Francisco or the broader United States.
