This Purchase Order is issued by Tashkent Digital Infrastructure LLC for the acquisition, licensing, deployment, and initial support of the Actor Enterprise Workflow and Project Management Platform. All software licenses, documentation, and hardware components associated with the Actor platform shall be delivered to the Buyer's premises at 42 Amir Temur Avenue, Tashkent, Uzbekistan, no later than 30 July 2025. The Seller's certified technical team shall travel to Tashkent, Uzbekistan, to perform the physical installation of the Actor-certified servers, configure the Actor platform in the local network environment, and complete all localization tasks (Uzbek, Russian, and English language support) within a maximum of ten (10) business days following hardware delivery. The training program for the Buyer's personnel in Tashkent shall be scheduled within the first two weeks of August 2025.
Payment shall be made in Euros (EUR) via international bank transfer to the Seller's designated account. The payment schedule is as follows:
- 30% advance payment (EUR 90,535.20) due within 10 business days of Purchase Order acceptance.
- 50% milestone payment (EUR 150,892.00) due upon successful completion of Actor platform installation and initial configuration in Tashkent.
- 20% final payment (EUR 60,356.80) due within 15 business days after completion of the training program and issuance of the final acceptance certificate by the Buyer.
- This Purchase Order is governed by the commercial laws of the Republic of Uzbekistan and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).
- The Actor platform and all associated intellectual property remain the exclusive property of Actor Solutions International GmbH. The Buyer is granted a non-transferable, perpetual license to use the Actor software within its Tashkent, Uzbekistan operations for the licensed number of user seats.
- The Seller warrants that the Actor platform shall be free from material defects in design and performance for a period of twenty-four (24) months from the date of final acceptance in Tashkent.
- All data processed by the Actor platform while deployed in Tashkent, Uzbekistan, shall comply with the data protection regulations of the Republic of Uzbekistan, including the Law on Personal Data Protection (No. ZRU-523, 2019).
- Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be submitted to arbitration under the International Commercial Arbitration Court at the Uzbekistan Chamber of Commerce and Industry, seated in Tashkent, Uzbekistan.
- The Seller shall provide a minimum of ninety (90) days' written notice before any material change to the Actor platform's core architecture or licensing terms that could affect the Buyer's operations in Tashkent.
- Force majeure events, including but not limited to natural disasters, government sanctions, or cross-border trade restrictions affecting the Republic of Uzbekistan, shall temporarily suspend the obligations of the affected party without penalty.
- This Purchase Order constitutes the entire agreement between the parties regarding the purchase and deployment of the Actor platform in Tashkent, Uzbekistan, and supersedes all prior negotiations, representations, or agreements.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Actor Enterprise Platform deployment in Tashkent, Uzbekistan.
