Terms and Conditions
- This Purchase Order is issued by Caracas Digital Media Group, C.A., located in Venezuela Caracas, and constitutes a binding request for the Actor Enterprise Platform and associated professional services as itemized above.
- All Actor products, software licenses, hardware units, and services referenced in this Purchase Order shall be delivered, installed, and made fully operational at the purchaser's facility in Venezuela Caracas no later than July 15, 2025.
- Payment shall be made in US Dollars (USD) via international wire transfer to the account designated by Actor Solutions International, Inc., within forty-five (45) calendar days from the date of confirmed delivery and acceptance in Venezuela Caracas.
- Actor Solutions International, Inc. warrants that all Actor software licenses are genuine, free of encumbrances, and fully licensed for commercial use within the Republic of Venezuela. The supplier shall bear full responsibility for any intellectual property claims arising from the Actor platform.
- The Actor hardware workstations shall be shipped under DDP (Delivered Duty Paid) terms to the purchaser's address in Venezuela Caracas. All customs clearance, import documentation, and Venezuelan regulatory filings shall be the responsibility of the supplier.
- Actor Solutions International, Inc. shall provide a dedicated on-site technical engineer stationed in Venezuela Caracas for a minimum of thirty (30) days following initial deployment to ensure full system stability and user adoption.
- All Actor platform data processed within Venezuela Caracas shall comply with the Venezuelan Ley Orgánica de Protección de Datos Personales and any applicable regulations issued by the relevant Venezuelan authorities. The Actor Security Module shall be configured to meet these requirements prior to go-live.
- In the event of non-delivery or material breach of this Purchase Order by the supplier, the purchaser reserves the right to terminate this agreement and demand a full refund of all amounts paid, plus a penalty of five percent (5%) of the total contract value per week of delay, up to a maximum of twenty-five percent (25%).
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Venezuela. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Venezuela Caracas in accordance with the rules of the Centro de Arbitraje de la Cámara de Comercio de Caracas.
- The Actor annual license and support contracts referenced herein shall auto-renew for successive twelve-month periods unless either party provides written notice of non-renewal at least sixty (60) days prior to the expiration date.
