Upon arrival at the Ho Chi Minh City facility, the buyer shall conduct a visual and dimensional inspection of all Actor items within 5 business days. • This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG).
• Any disputes arising from this Purchase Order shall be resolved through arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
• The seller shall comply with all applicable import regulations, safety standards, and environmental laws of the Socialist Republic of Vietnam, including those enforced in Ho Chi Minh City.
• Neither party shall be liable for delays caused by force majeure events, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Vietnam Ho Chi Minh City or the seller's country of origin.
• This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Actor equipment and supersedes all prior negotiations, representations, or agreements.
