This Purchase Order is issued by the Harare Performing Arts Consortium (HPAC) to Actor Global Systems Ltd. for the supply, delivery, installation, and commissioning of the Actor Professional Stage Production and Audio-Visual Performance System. All Actor hardware components shall be shipped from the supplier's facility in London, United Kingdom, to the designated installation site in Zimbabwe Harare. Delivery shall be made no later than 45 calendar days from the date of this Purchase Order acceptance. The supplier shall coordinate all customs clearance, import documentation, and logistics through the Harare International Airport (HIA) or the Beitbridge border crossing point. Installation and commissioning of the complete Actor system at the HPAC venue in Zimbabwe Harare shall be completed within 10 business days of hardware arrival. The supplier's certified Actor technicians shall travel to Zimbabwe Harare at the supplier's expense to perform all installation, calibration, and testing procedures.
- Advance Payment: 30% of the total Purchase Order value (USD 88,817.25) shall be paid within 7 business days of countersignature via international wire transfer to the supplier's designated bank account.
- Shipment Payment: 40% of the total Purchase Order value (USD 118,423.00) shall be paid upon confirmation of shipment and provision of Bill of Lading documentation.
- Completion Payment: The remaining 30% of the total Purchase Order value (USD 88,817.25) shall be paid within 14 business days of successful installation, commissioning, and acceptance of the Actor system in Zimbabwe Harare.
- All payments shall be made in United States Dollars (USD) to the supplier's account: Actor Global Systems Ltd., Barclays Bank, Sort Code: 20-45-67, Account No: 55882201, SWIFT: BARCGB22.
The supplier warrants that all Actor products supplied under this Purchase Order shall be new, unused, and free from defects in materials and workmanship. The Actor Extended Warranty (Item 10) shall provide comprehensive coverage for a period of five (5) years from the date of commissioning in Zimbabwe Harare. The supplier shall provide remote technical support for the Actor system 24/7 and shall dispatch a certified Actor technician to Zimbabwe Harare within 72 hours for any hardware failure not resolvable remotely. All warranty service visits to Zimbabwe Harare shall be at no additional cost to HPAC during the warranty period.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe, with reference to the United Nations Convention on Contracts for the International Sale of Goods (CISG).
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Harare, Zimbabwe, in accordance with the rules of the Zimbabwe Arbitration Centre.
- The supplier shall comply with all applicable Zimbabwean import regulations, customs declarations, and tax obligations related to the delivery of the Actor system to Zimbabwe Harare.
- Neither party shall be liable for delays caused by force majeure events, including but not limited to natural disasters, government sanctions, or international trade restrictions affecting Zimbabwe Harare.
- This Purchase Order may only be amended in writing with the mutual consent of both parties, signed and dated by authorised representatives.
- The supplier shall provide all necessary technical documentation, user manuals, and software keys for the Actor system in English, suitable for use by HPAC staff in Zimbabwe Harare.
By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the acquisition of the Actor Professional Stage Production System for deployment in Zimbabwe Harare.
