This Purchase Order is issued by Stratosphere Aerospace Solutions Pty Ltd to formally engage the services of a qualified Aerospace Engineer through Meridian Engineering Consultancy Group. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Queensland, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be resolved through the courts of Australia Brisbane, Queensland.
- Qualification Requirements: The Aerospace Engineer engaged under this Purchase Order must hold a minimum of a Bachelor of Engineering (Aerospace) degree from an accredited Australian university, a minimum of eight (8) years of post-qualification experience in commercial aerospace programmes, and current membership with Engineers Australia. The Aerospace Engineer must also hold a valid Australian working visa or permanent residency.
- Deliverables: All engineering deliverables produced by the Aerospace Engineer shall be submitted to the purchaser's project management office in Australia Brisbane within the timelines specified in the attached Statement of Work (Appendix A). Deliverables include but are not limited to: structural analysis reports, propulsion performance data packages, flight control integration test reports, and CASA compliance documentation.
- Confidentiality: The Aerospace Engineer shall be bound by a Non-Disclosure Agreement (NDA) executed prior to commencement of work. All proprietary data, design drawings, and test results generated during the engagement in Australia Brisbane shall remain the exclusive intellectual property of Stratosphere Aerospace Solutions Pty Ltd.
- Payment Schedule: Invoicing shall be submitted monthly in arrears. Payment for each invoice under this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Payment shall be made via electronic funds transfer (EFT) to the supplier's nominated bank account in Australia.
- Performance Standards: The Aerospace Engineer shall adhere to all applicable Australian Standards (AS), CASA regulations, and the purchaser's internal quality management system. Failure to meet performance benchmarks as defined in the Statement of Work may result in termination of this Purchase Order with thirty (30) days' written notice.
- Insurance: The supplier shall maintain Professional Indemnity Insurance of no less than AUD $10,000,000 and Public Liability Insurance of no less than AUD $20,000,000 for the duration of the Aerospace Engineer's engagement in Australia Brisbane.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the purchaser shall be liable for all services rendered and approved deliverables up to the date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Australia Brisbane region, government-imposed restrictions, or pandemics.
The Aerospace Engineer shall report to the purchaser's primary engineering facility located at 12 Aviation Drive, Brisbane Airport Industrial Precinct, Australia Brisbane, QLD 4008. Site access shall be granted subject to completion of the purchaser's security clearance process, which may take up to ten (10) business days. The Aerospace Engineer is required to be on-site a minimum of four (4) days per week during the engagement period, with the remaining day allocated to remote work from the supplier's office in Australia Brisbane.
6. AUTHORISATION AND ACCEPTANCEBy signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This Purchase Order constitutes a binding agreement between the parties upon execution by both authorised signatories.
