Payment against this Purchase Order shall be made in accordance with the following schedule. All payments are denominated in Australian Dollars (AUD) and shall be remitted via electronic funds transfer (EFT) to the supplier's nominated bank account in Australia Sydney.

• Milestone 1: 25% of the total Purchase Order value (AUD 92,427.50) due within 14 business days of acceptance of this Purchase Order and commencement of Phase 1 work.
• Milestone 2: 30% of the total Purchase Order value (AUD 110,913.00) due upon successful completion and buyer sign-off of Phase 2 Detailed Design deliverables.
• Milestone 3: 30% of the total Purchase Order value (AUD 110,913.00) due upon completion of fatigue analysis and CASA documentation submission.
• Milestone 4: 15% of the total Purchase Order value (AUD 55,456.50) due upon final acceptance of all deliverables and closure of the engagement.

The Aerospace Engineer shall commence work no later than 1 July 2025 and shall complete all deliverables by 31 December 2025. The Aerospace Engineer is required to maintain a minimum of 40 hours per week of dedicated service delivery from the Australia Sydney office and the buyer's manufacturing site. All progress reports shall be submitted bi-weekly to the buyer's project management team in Australia Sydney. 2. The Aerospace Engineer engaged under this Purchase Order must hold a valid Australian engineering registration (CPEng or NER) and a minimum of ten (10) years of experience in aerospace structural design. Proof of qualifications shall be provided prior to commencement.
3. All intellectual property, design data, and documentation produced under this Purchase Order shall be the sole property of Stratosphere Aerospace Solutions Pty Ltd. The Aerospace Engineer shall execute a non-disclosure agreement (NDA) prior to accessing any proprietary information.
4. The supplier warrants that the Aerospace Engineer shall comply with all applicable Australian workplace health and safety regulations, including the Work Health and Safety Act 2011 (NSW), while operating at the buyer's Australia Sydney facilities.
5. The buyer reserves the right to audit the supplier's compliance with this Purchase Order at any reasonable time with 48 hours' written notice.
6. Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination for cause, the supplier shall refund any prepayments for undelivered services within 21 days.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Australia Sydney region, government-mandated shutdowns, or pandemics.
