Terms and Conditions of This Purchase Order
- Acceptance: This Purchase Order constitutes a binding agreement for the engagement of the named Aerospace Engineer to perform the services described herein. Acceptance is confirmed by the Aerospace Engineer's written signature and return of this document within five (5) business days of issuance.
- Place of Performance: All services under this Purchase Order shall be rendered primarily at the purchasing entity's facility located in Brazil Brasília, Federal District, or at such other locations within Brazil Brasília as mutually agreed in writing. The Aerospace Engineer acknowledges that all on-site work will take place within the administrative boundaries of Brazil Brasília.
- Payment Terms: Payment shall be made in monthly installments via bank transfer (TED/PIX) to the account designated by the Aerospace Engineer, within fifteen (15) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-BRB-2025-04871) and include the Aerospace Engineer's CREA-DF registration number.
- Compliance: The Aerospace Engineer warrants that all work performed under this Purchase Order shall comply with applicable Brazilian aerospace regulations, ANAC standards, CREA-DF professional code of conduct, and all municipal ordinances of Brazil Brasília governing engineering practice.
- Confidentiality: The Aerospace Engineer agrees to maintain strict confidentiality regarding all proprietary data, design specifications, and technical information accessed during the performance of services under this Purchase Order. This obligation survives termination for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Aerospace Engineer shall be compensated for all hours worked and deliverables completed up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brazil Brasília, Federal District.
- Intellectual Property: All work product, designs, analyses, and documentation created by the Aerospace Engineer specifically for the purchasing entity under this Purchase Order shall be the exclusive property of the purchasing entity upon full payment.
