Description of Services – Aerospace Engineer Engagement

This Purchase Order is issued by Meridian Aerospace Solutions Inc., headquartered in Canada Montreal, to formally authorize the procurement of specialized professional services rendered by a qualified Aerospace Engineer. The engagement is intended to support the design, analysis, testing, and certification of next-generation composite airframe components for commercial and defense aviation programs currently under development at our Canada Montreal facility. The Aerospace Engineer shall operate in accordance with the standards established by Transport Canada, the Canadian Standards Association (CSA), and applicable Federal Aviation Administration (FAA) guidelines where cross-border certification is required.

Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable in Canada Montreal. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Montreal under the rules of the ADR Institute of Canada.
  2. Scope of Work: The Aerospace Engineer(s) engaged under this Purchase Order shall perform all duties in strict compliance with the project specifications outlined in Appendix A (attached separately). All engineering deliverables, including but not limited to structural calculations, aerodynamic reports, propulsion integration documents, and certification dossiers, must be submitted to the Meridian Aerospace Solutions Canada Montreal project management office within the timelines specified in the project schedule.
  3. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-CA-MTL-04782) and include the vendor's GST/HST registration number. Payment shall be processed via electronic funds transfer (EFT) to the bank account designated by the vendor. All amounts are denominated in Canadian Dollars (CAD).
  4. Confidentiality & Intellectual Property: All data, designs, analyses, and proprietary information generated by the Aerospace Engineer in the course of this engagement shall remain the exclusive property of Meridian Aerospace Solutions Inc. The Aerospace Engineer agrees to maintain strict confidentiality in accordance with the Non-Disclosure Agreement (NDA) executed concurrently with this Purchase Order. No portion of the work product may be disclosed to third parties without prior written consent from the Canada Montreal legal department.
  5. Qualifications & Compliance: The Aerospace Engineer must hold a valid Professional Engineer (P.Eng.) license issued by the Ordre des ingénieurs du Québec (OIQ) and possess a minimum of ten (10) years of demonstrated experience in aerospace structural or systems engineering. The vendor shall provide proof of professional liability insurance with a minimum coverage of CAD $5,000,000 per occurrence, valid throughout the term of this Purchase Order.
  6. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the vendor shall be compensated for all services rendered up to the effective date of termination, less any applicable deductions. All work-in-progress deliverables must be handed over to the Canada Montreal project team within fifteen (15) business days of termination.
  7. Warranty of Services: The Aerospace Engineer warrants that all services performed under this Purchase Order shall be executed in a professional, workmanlike manner consistent with industry best practices in the aerospace sector. Any errors or omissions identified within twelve (12) months of delivery shall be corrected at no additional cost to Meridian Aerospace Solutions Inc.
  8. Health, Safety & Environment: The Aerospace Engineer shall comply with all applicable occupational health and safety regulations as enforced by the Commission de la santé et de la sécurité du travail (CSST) in the Province of Quebec and all site-specific safety protocols at the Canada Montreal manufacturing and testing facility.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or pandemics affecting operations in Canada Montreal or elsewhere in Canada.
  10. Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or informal communications shall not constitute a valid amendment to this Purchase Order.
Authorization & Acceptance

By signing below, the undersigned parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Aerospace Engineer professional services as described herein, to be performed primarily at the Meridian Aerospace Solutions Inc. facility located in Canada Montreal, Quebec, Canada.
