This Purchase Order is issued by Northwest Aerospace Solutions Inc. to engage the services of a qualified Aerospace Engineer for the design, analysis, and certification support of a next-generation composite wing assembly for a regional turboprop aircraft. All work shall be performed in accordance with the applicable regulations of Transport Canada and the Canadian Aviation Regulations (CARs), Part 521 (Aircraft Airworthiness Standards). The Aerospace Engineer shall operate primarily from the vendor's office in Canada Vancouver and shall conduct on-site inspections at the Northwest Aerospace Solutions facility located in the Vancouver, British Columbia industrial corridor.

4.1 Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of the Province of British Columbia, Canada Vancouver.
4.2 Professional Standards. The Aerospace Engineer shall perform all services in a professional and workmanlike manner consistent with the standards of practice established by Engineers and Geoscientists British Columbia (EGBC). The Aerospace Engineer warrants that all engineering calculations, analyses, and design releases shall comply with the applicable Canadian Aviation Regulations and Transport Canada Airworthiness Directives in force at the time of delivery.
4.3 Intellectual Property. All deliverables, including but not limited to FEA models, CFD datasets, engineering reports, and design drawings produced under this Purchase Order, shall become the sole property of Northwest Aerospace Solutions Inc. upon full payment. The Aerospace Engineer retains the right to reference the project in a general, non-identifiable manner for professional portfolio purposes, subject to a 90-day confidentiality period.
4.4 Confidentiality. The Aerospace Engineer shall treat all proprietary data, design specifications, and operational information provided by Northwest Aerospace Solutions Inc. as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
4.5 Payment Schedule. Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon delivery and acceptance of the interim engineering report (Item 006, draft), and 30% upon final acceptance of all deliverables. Invoices shall be submitted to the accounts payable department at Northwest Aerospace Solutions Inc., Vancouver, BC. Payment shall be made by electronic funds transfer (EFT) to the bank account designated by the Aerospace Engineer.
4.6 Acceptance Criteria. All deliverables shall be subject to a ten (10) business-day review period by the Northwest Aerospace Solutions Inc. Quality Assurance team. Acceptance shall be deemed complete upon written confirmation or upon the expiration of the review period without written objection. Any non-conforming deliverables shall be corrected by the Aerospace Engineer at no additional cost within fifteen (15) business days of notification.
4.7 Insurance and Indemnification. The Aerospace Engineer shall maintain professional liability insurance with a minimum coverage of $5,000,000 CAD throughout the term of this Purchase Order. The Aerospace Engineer shall indemnify and hold harmless Northwest Aerospace Solutions Inc. from any claims, damages, or liabilities arising from the negligence or willful misconduct of the Aerospace Engineer in the performance of services under this Purchase Order.
4.8 Termination. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Aerospace Engineer shall be compensated for all services rendered and non-cancellable expenses incurred up to the date of termination, subject to the acceptance criteria in Section 4.6.
4.9 Compliance with Canadian Regulations. The Aerospace Engineer confirms that all services rendered under this Purchase Order comply with the Canadian Occupational Health and Safety regulations applicable in British Columbia, the Personal Information Protection Act (PIPA) of British Columbia, and all applicable federal and provincial employment and professional practice statutes of Canada.
All remote and office-based work shall be performed from the Aerospace Engineer's registered office in Canada Vancouver, British Columbia. On-site activities (Item 005) shall be conducted at the Northwest Aerospace Solutions Inc. facility at 4820 West Broadway, Vancouver, BC. The Aerospace Engineer shall coordinate all on-site visits with the project manager no fewer than five (5) business days in advance. All work shall be completed no later than July 15, 2025, unless a written extension is mutually agreed upon by both parties.
