This Purchase Order is issued by Beijing Aerospace Technology Development Corporation to formally procure the professional services of a qualified Aerospace Engineer for the duration of the project described herein. The Aerospace Engineer shall be engaged to provide specialized technical consultation, design oversight, systems integration review, and performance validation services in support of BATDC's next-generation satellite propulsion subsystem development program, to be conducted at the principal facility located in China Beijing. All deliverables, site visits, and on-site engineering activities associated with this Purchase Order shall be performed within the administrative boundaries of China Beijing unless otherwise authorized in writing by the Buyer's Project Director.
The Aerospace Engineer engaged under this Purchase Order must hold a minimum of ten (10) years of documented professional experience in aerospace propulsion systems, structural dynamics, or orbital mechanics, and must possess a valid PRC-registered professional engineering license. The Aerospace Engineer shall comply with all applicable regulations of the China State Administration for Science, Technology and Industry for National Defense (SASTIND) and the local China Beijing municipal engineering standards authority.

- Acceptance: This Purchase Order becomes binding upon written acceptance by the Supplier within five (5) business days of the Date of Issue. Failure to accept within this period shall render this Purchase Order null and void.
- Performance: The Aerospace Engineer shall perform all duties in accordance with the technical specifications annexed to this Purchase Order and in compliance with all applicable laws and regulations of the People's Republic of China, including but not limited to the PRC Civil Aviation Law, SASTIND export-control directives, and China Beijing municipal occupational safety standards.
- Intellectual Property: All work product, designs, analyses, and documentation created by the Aerospace Engineer in the course of fulfilling this Purchase Order shall be the sole and exclusive property of the Buyer. The Aerospace Engineer grants the Buyer a perpetual, irrevocable, royalty-free license to use, modify, and distribute all deliverables.
- Confidentiality: The Aerospace Engineer shall maintain strict confidentiality of all proprietary information, technical data, and project details encountered during the performance of this Purchase Order. This obligation survives termination for a period of five (5) years.
- Payment: Payment shall be made in CNY via bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice and written acceptance of the corresponding milestone deliverable. Late payments shall accrue interest at 0.05% per calendar day.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall pay for all services rendered and approved deliverables up to the termination date.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in China Beijing, in accordance with its then-current rules. The language of arbitration shall be English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in China Beijing.
- Compliance: The Aerospace Engineer warrants that all services rendered under this Purchase Order shall comply with PRC labor law, tax obligations, and any applicable professional licensing requirements for engineering practice in China Beijing.
By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Aerospace Engineer services in China Beijing.

This Purchase Order (PO-CB-2025-04872) constitutes the complete and exclusive agreement between the parties with respect to the procurement of Aerospace Engineer professional services in China Beijing. No modification, amendment, or waiver of any provision of this Purchase Order shall be effective unless made in writing and signed by authorized representatives of both parties. This document is issued in two (2) original copies, one for each party. All references to "China Beijing" herein denote the municipality of Beijing, People's Republic of China, and its subordinate administrative districts.
