The Aerospace Engineer engaged under this Purchase Order shall provide full-time on-site technical leadership at our Colombia Medellín campus for a period of twelve (12) months, with the possibility of a six-month extension subject to mutual agreement. The engineer is expected to hold a minimum of ten (10) years of progressive experience in aerospace structural design, finite element analysis (FEA), aerodynamic optimization, and compliance with ICAO and EASA certification standards. The Aerospace Engineer must also demonstrate proficiency in CATIA V5, ANSYS Mechanical, and NASTRAN, as well as working knowledge of Colombian regulatory requirements administered by the Aeronáutica Civil de Colombia.

1. This Purchase Order constitutes a binding agreement between Andes Aerospace Solutions S.A.S. (Buyer) and Orbital Dynamics Consulting Group S.A.S. (Vendor) for the provision of Aerospace Engineer professional services to be performed primarily at the Buyer's facility located in Colombia Medellín, Antioquia.
2. The Aerospace Engineer assigned to this contract shall report directly to the Director of Engineering at the Colombia Medellín campus and shall adhere to all internal safety, quality, and intellectual property protocols established by the Buyer.
3. Payment shall be made via bank transfer to the Vendor's designated account in Colombian Pesos (COP) within thirty (30) calendar days from the date of invoice receipt, in accordance with Colombian commercial law (Código de Comercio, Decreto 410 de 1971).
4. All deliverables, including but not limited to engineering drawings, simulation reports, test data, and certification documentation produced by the Aerospace Engineer under this Purchase Order, shall be the exclusive intellectual property of Andes Aerospace Solutions S.A.S.
5. The Vendor guarantees that the Aerospace Engineer and all supporting personnel are duly registered with the Colombian professional regulatory body (Cámara de Ingenieros de Antioquia) and hold valid professional licenses for the duration of this engagement.
6. Any modification to the scope, timeline, or pricing of this Purchase Order must be documented in a written change order signed by both parties. Verbal agreements regarding the Aerospace Engineer's duties or the Colombia Medellín project schedule shall not be enforceable.
7. In the event of non-performance or material breach by the Vendor, the Buyer reserves the right to terminate this Purchase Order with fifteen (15) days' written notice, without liability for future payments beyond work already completed and verified.
8. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Colombia. Any disputes arising herefrom shall be submitted to the competent commercial courts of Medellín, Antioquia, Colombia.
9. The Vendor shall maintain professional liability insurance with a minimum coverage of COP 2,000,000,000 for the duration of the Aerospace Engineer's engagement in Colombia Medellín.

The Aerospace Engineer shall commence on-site work at the Colombia Medellín facility no later than July 1, 2025. Milestone deliverables include: (a) preliminary structural design package by September 30, 2025; (b) completed FEA validation reports by December 15, 2025; (c) aerodynamic optimization summary by March 1, 2026; and (d) final certification dossier submission by June 1, 2026. All milestones are subject to review and acceptance by the Buyer's Quality Assurance department in Colombia Medellín.
