All amounts are denominated in United States Dollars (USD). Payment shall be processed through the Central Bank of the Democratic Republic of the Congo, Kinshasa branch, in accordance with the national foreign exchange regulations. Applicable value-added tax (VAT) at the rate of 16% as mandated by the DR Congo tax authority shall be added to the total contract value.
- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Republic of the Congo, particularly the national procurement code and aviation regulatory framework. All disputes shall be resolved through the competent courts of Kinshasa, DR Congo.
- Performance Location: The Aerospace Engineer shall perform all duties primarily at the designated facility in DR Congo Kinshasa. Travel to other provinces within the DR Congo may be required and shall be pre-approved in writing by the Purchasing Entity.
- Payment Schedule: Payment for this Purchase Order shall be made in quarterly installments, due within thirty (30) calendar days following the end of each quarter. The first installment shall be due upon successful completion of the initial onboarding and site assessment phase.

- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, civil unrest, government sanctions, or other events beyond reasonable control, provided written notice is given within seven (7) days of the occurrence.
- Insurance: The Aerospace Engineer shall maintain professional liability insurance with a minimum coverage of USD 500,000, valid throughout the DR Congo, for the entire term of this Purchase Order.
