All deliverables outlined in this Purchase Order must be submitted to the Chief Procurement Officer of Alexandria Aerospace & Defense Industries S.A.E. in accordance with the milestone schedule attached as Appendix A to this document. Failure to meet any milestone by more than ten (10) business days shall entitle the Buyer to invoke the penalty clauses specified in Section 7 of this Purchase Order.

• Payment shall be made in Egyptian Pounds (EGP) via bank transfer to the account designated by Helios Aerospace Engineering Consultants Ltd.
• An advance payment of 25% (EGP 847,305) shall be due within ten (10) business days of the formal acceptance of this Purchase Order.
• Progress payments of 25% each shall be due upon completion of Months 2, 4, and 6 of the Aerospace Engineer engagement, subject to satisfactory milestone verification.
• The final 25% balance shall be released within fifteen (15) business days of final acceptance and sign-off of all deliverables by the Buyer's technical review board in Egypt Alexandria.
• All invoices must reference this Purchase Order number (EGY-ALX-2025-04782) to be processed by the accounts department.

The Aerospace Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Aerospace Engineering or a closely related discipline from an accredited institution. The Aerospace Engineer must possess a minimum of eight (8) years of professional experience in satellite systems, antenna design, or structural aerospace engineering. Valid professional licensure with the Egyptian Engineers Syndicate (Branch: Egypt Alexandria) is mandatory. The Aerospace Engineer must also demonstrate familiarity with ECAA regulatory frameworks applicable to ground-based space infrastructure in Egypt Alexandria and must pass a background security clearance check prior to site access at the Alexandria Space Research Facility.

• This Purchase Order is governed by the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through arbitration in Egypt Alexandria under the rules of the Egyptian Arbitration Center.
• The Aerospace Engineer shall maintain professional indemnity insurance with a minimum coverage of EGP 5,000,000 for the duration of the engagement.
• All intellectual property, design documents, simulation data, and engineering reports produced by the Aerospace Engineer under this Purchase Order shall be the exclusive property of Alexandria Aerospace & Defense Industries S.A.E.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Aerospace Engineer shall be compensated for all work completed up to the termination date.
• Confidentiality obligations shall survive the expiration or termination of this Purchase Order for a period of five (5) years.
• Force majeure events, including but not limited to natural disasters affecting the Egypt Alexandria region, shall suspend obligations under this Purchase Order for the duration of the event plus a reasonable recovery period.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Aerospace Engineer in Egypt Alexandria.
