All deliverables under this Purchase Order shall comply with the Egyptian Civil Aviation Authority (ECAA) regulations, ICAO Annex 8 standards, and the specific technical specifications outlined in Annex A of this Purchase Order.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, including the Egyptian Civil Code (Law No. 131 of 1948) and the Egyptian Commercial Code. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Egypt Cairo.
2. Payment Terms: Payment shall be made in Egyptian Pounds (EGP) via bank transfer to the Aerospace Engineer's designated account at the National Bank of Egypt, Cairo Main Branch. Payment shall be released in three (3) installments: 40% upon acceptance of this Purchase Order, 40% upon completion of all structural design reviews and on-site supervision in Egypt Cairo, and 20% upon final acceptance of all compliance reports by the Egyptian Civil Aviation Authority.
3. Delivery and Performance Location: All services under this Purchase Order shall be performed at the Egypt Cairo MRO facility (Cairo International Airport, Hangar 7) and at the Aerospace Engineer's registered office in Maadi, Egypt Cairo, as mutually agreed in writing.
4. Compliance and Certification: The Aerospace Engineer warrants that all deliverables shall meet or exceed the standards prescribed by the Egyptian Civil Aviation Authority, the International Civil Aviation Organization (ICAO), and applicable Egyptian national standards (EGS). The Aerospace Engineer shall maintain a valid professional license issued by the Egyptian Aeronautical Authority throughout the performance period of this Purchase Order.
5. Confidentiality: The Aerospace Engineer shall treat all technical data, proprietary designs, and operational information of Nile Aerospace Technologies S.A.E. as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years and is subject to the Egyptian Law on Protection of Commercial Secrets (Law No. 17 of 1999).
6. Insurance: The Aerospace Engineer shall maintain professional indemnity insurance with a minimum coverage of EGP 2,000,000, valid throughout the term of this Purchase Order, with the policy issued by a licensed insurer operating in Egypt Cairo.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Aerospace Engineer shall be compensated for all services rendered up to the date of termination, subject to final acceptance by Nile Aerospace Technologies S.A.E. in Egypt Cairo.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, war, civil unrest in Egypt Cairo, government sanctions, or pandemics, as defined under Article 147 of the Egyptian Civil Code.
9. Anti-Corruption: The Aerospace Engineer confirms compliance with the Egyptian Anti-Corruption Law (Law No. 81 of 2016) and certifies that no part of the consideration under this Purchase Order has been or shall be offered as a bribe or improper inducement to any public official in Egypt Cairo.
