Scope of Work — Aerospace Engineer Engagement in France Lyon

This Purchase Order is issued by AeroDynamics France S.A.S. to formally request and authorize the procurement of specialized Aerospace Engineer professional services to be delivered and executed within the France Lyon metropolitan area. The engagement of a qualified Aerospace Engineer is required to support the design, analysis, and certification of next-generation composite airframe components for a commercial regional aircraft programme currently under development at our Lyon facility. The Aerospace Engineer shall be based at our premises located in the 9th arrondissement of Lyon, France, and shall report directly to the Chief Design Authority for the duration of the contracted period.

Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between AeroDynamics France S.A.S. and Lyonnais Aerospace Consulting SARL upon countersignature by both parties. All services described herein shall be performed by a qualified Aerospace Engineer holding a minimum of ten (10) years of post-graduate experience in commercial aerospace structural design.
  2. The Aerospace Engineer shall be physically stationed at the France Lyon facility (12 Quai de Serbie, 69009 Lyon) for the duration of the engagement. Remote work is not permitted for safety-critical design activities. The supplier shall ensure the Aerospace Engineer holds a valid French work permit or EU work authorization.
  3. Payment terms: 30% advance upon acceptance of this Purchase Order, 40% upon completion of the structural analysis and CFD deliverables (Line Items 01 and 02), and 30% upon final acceptance of all certification documentation and completion of on-site testing supervision. All payments shall be made via SEPA bank transfer to the supplier's account in France.
  4. All intellectual property, design data, and technical documentation produced by the Aerospace Engineer in the course of this engagement shall be the sole property of AeroDynamics France S.A.S. The supplier warrants that no third-party IP shall be infringed.
  5. The Aerospace Engineer shall comply with all applicable French labour regulations, EASA airworthiness directives, and the internal quality management system (ISO 9001:2015) of the France Lyon facility. The supplier shall maintain full professional indemnity insurance of no less than €5,000,000 per claim.
  6. Any variation to the scope of work, extension of the engagement period, or change in the Aerospace Engineer's role must be documented in a formal Purchase Order amendment signed by both parties. Verbal instructions shall not be binding.
  7. Disputes arising from this Purchase Order shall be resolved under the jurisdiction of the Commercial Court of Lyon, France. The governing law shall be French civil law (Code civil) and applicable EU regulations.
  8. The supplier shall provide a weekly progress report to the Project Director at the France Lyon site, detailing the Aerospace Engineer's activities, milestones achieved, and any risks or delays affecting the programme schedule.
  9. This Purchase Order is valid for acceptance within fourteen (14) calendar days of the issue date. Failure to countersign within this period shall render this Purchase Order null and void without further notice.
Acceptance & Authorization

By signing below, both parties confirm that this Purchase Order for Aerospace Engineer services in France Lyon has been reviewed, understood, and accepted in full. The terms set forth herein shall govern the professional relationship for the duration of the contracted engagement.
