This Purchase Order is issued by AeroDynamics Provence SAS to formally engage the services of Aerospace Engineer Claire Fontaine for the duration of the project described herein. The engagement is specifically tied to operations conducted within the France Marseille metropolitan area and its surrounding industrial zones, including the Marseille-Provence airport complex and the Port of Marseille-Fos aerospace logistics facilities.

The Aerospace Engineer shall provide the following professional services:

All services under this Purchase Order shall be performed primarily at the AeroDynamics Provence SAS facility located at 42 Boulevard du Longchamp, 13001 Marseille, France. Additional on-site work may be conducted at the Port of Marseille-Fos aerospace logistics terminal and at the Provence-Alpes-Côte d’Azur regional aerospace test range. The Aerospace Engineer acknowledges that the operational base for this engagement is France Marseille and agrees to maintain a regular presence at the designated work locations throughout the contract period. Any travel beyond the Marseille metropolitan area exceeding fifty (50) kilometres in radius shall be pre-authorised in writing by the Buyer’s project manager.

Payment for services rendered under this Purchase Order shall be made in accordance with the following schedule:

30% of the total Purchase Order value (€ 14,220.00) shall be due within fifteen (15) business days of the formal acceptance of this Purchase Order by both parties.
40% of the total Purchase Order value (€ 18,960.00) shall be due upon completion of Items 01 and 02, subject to written acceptance by the Buyer’s technical review board in France Marseille.
30% of the total Purchase Order value (€ 14,220.00) shall be due upon final delivery and acceptance of the complete Aerospace Engineer technical dossier (Item 04) and the travel allowance (Item 05).

All payments shall be made via bank transfer to the account designated by the Supplier. Invoices must reference this Purchase Order number (PO-2025-FRM-04872) and shall be issued in accordance with French fiscal regulations (Code général des impôts). Late payments shall accrue interest at the rate of 1.5% per month as stipulated under French commercial law (Article L441-10 du Code de commerce).

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France Marseille.
Confidentiality: The Aerospace Engineer agrees to maintain strict confidentiality regarding all proprietary data, aerodynamic models, structural designs, and client information encountered during the performance of services under this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Intellectual Property: All work product, reports, calculations, and documentation created by the Aerospace Engineer specifically for the purposes of this Purchase Order shall be the exclusive property of AeroDynamics Provence SAS upon full payment. The Aerospace Engineer retains the right to reference the engagement in professional portfolios, subject to prior written approval from the Buyer.
Insurance and Liability: The Aerospace Engineer shall maintain professional liability insurance (assurance réponse civile professionnelle) with a minimum coverage of € 1,000,000 per occurrence for the duration of this Purchase Order. A certificate of insurance shall be provided to the Buyer prior to the commencement of work in France Marseille.
Compliance: The Aerospace Engineer warrants that all services shall comply with applicable French and European aerospace regulations, including but not limited to EASA Part-21, Part-25, and the French Aviation Code (Code des transports, Livre II). The Aerospace Engineer shall hold a valid engineering qualification recognised by the French Ministry of Higher Education and Research.
Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the Aerospace Engineer shall be compensated for all services rendered up to the effective date of termination, and all work in progress shall be delivered to the Buyer.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in France Marseille or the broader Provence-Alpes-Côte d’Azur region.
Health and Safety: The Aerospace Engineer shall comply with all health and safety protocols in effect at the AeroDynamics Provence SAS facility and at any other work site in France Marseille. The Aerospace Engineer shall complete all required safety inductions prior to commencing on-site work.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Aerospace Engineer for the project described herein, with operations based in France Marseille.
