Description of Purchase OrderThis Purchase Order is issued by AéroSolutions France SAS, headquartered in France Paris, to formally request and authorize the engagement of a qualified Aerospace Engineer to provide specialized technical consulting, design validation, and systems integration services for the development of next-generation satellite propulsion modules. The Aerospace Engineer shall be assigned to the Le Bourget Aerospace Campus facility located in the northern district of France Paris, where all project deliverables will be reviewed, tested, and certified in accordance with European Space Agency (ESA) standards and French regulatory requirements governed by the Direction Générale de l'Armement (DGA).
The scope of this Purchase Order encompasses the full professional engagement of the Aerospace Engineer for a period of twelve (12) months, commencing on 01 September 2025 and concluding on 31 August 2026. The Aerospace Engineer shall report directly to the Chief Technical Officer at the France Paris headquarters and shall maintain a minimum on-site presence of five (5) business days per week at the designated France Paris laboratory and design office.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. All disputes arising from this Purchase Order relating to the Aerospace Engineer's services in France Paris shall be subject to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris.
- Payment Terms: Payment shall be made via bank transfer (SEPA) within thirty (30) calendar days of receipt of a valid invoice. Invoices shall be issued monthly in arrears. The Aerospace Engineer's compensation is subject to French labor law (Code du Travail) and applicable collective agreements for the aerospace sector in France Paris.
- Intellectual Property: All designs, analyses, simulations, and technical documentation produced by the Aerospace Engineer during the term of this Purchase Order shall be the exclusive property of AéroSolutions France SAS. The Aerospace Engineer hereby assigns all intellectual property rights arising from work performed at the France Paris facility.
- Confidentiality: The Aerospace Engineer shall maintain strict confidentiality regarding all proprietary data, trade secrets, and classified information encountered during the engagement in France Paris. A Non-Disclosure Agreement (NDA) compliant with French data protection regulations (RGPD/GDPR) is attached as Annex A.
- Compliance & Certification: The Aerospace Engineer must hold a valid French engineering diploma (Diplôme d'Ingénieur) or equivalent qualification recognized by the Commission des Titres d'Ingénieur (CTI). All work shall comply with EN 9100 (AS9100) aerospace quality management standards and applicable French aerospace regulations.
- Working Location: The primary work location for the Aerospace Engineer shall be the AéroSolutions France SAS facility at 128 Avenue de la Grande Armée, 75017 France Paris. Occasional travel to ESA facilities in Toulouse and DGA installations in Brétigny-sur-Orge may be required.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Aerospace Engineer shall complete all in-progress deliverables and hand over all work-in-progress documentation to the France Paris project team.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in France Paris.
- Health & Safety: The Aerospace Engineer shall comply with all health and safety protocols at the France Paris facility, including mandatory safety training for aerospace laboratory environments and handling of hazardous materials.
- Dispute Resolution: Any dispute not resolvable through good-faith negotiation shall be submitted to mediation under the rules of the Centre de Médiation et d'Arbitrage de Paris (CMA), France Paris, before proceeding to litigation.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Aerospace Engineer in France Paris. This document constitutes a binding contractual agreement effective upon execution by both authorized representatives.
