This Purchase Order is issued by AeroDynamics Berlin GmbH (hereinafter referred to as "the Buyer") to Stellar Aerospace Consulting UG (hereinafter referred to as "the Supplier") for the provision of a qualified Aerospace Engineer to support the Buyer's ongoing satellite propulsion development programme. The Aerospace Engineer shall be physically stationed at the Buyer's facility in Germany Berlin and shall report directly to the Head of Propulsion Systems. The scope of work encompasses the design, simulation, testing, and documentation of advanced liquid-propellant and electric propulsion systems for low-Earth-orbit satellite constellations.

3.1 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Berlin.
3.2 The Aerospace Engineer engaged under this Purchase Order shall comply with all applicable German labour regulations, including the Arbeitszeitgesetz (Working Hours Act), the Betriebsverfassungsgesetz (Works Constitution Act), and data protection requirements under the GDPR as implemented in Germany Berlin.
3.3 The Supplier shall ensure that the Aerospace Engineer possesses all necessary professional qualifications, professional liability insurance, and any required security clearances for access to classified aerospace programmes conducted in Germany Berlin.
3.4 The Aerospace Engineer shall adhere to the Buyer's internal quality management system, which is certified to ISO 9001:2015 and AS9100D (Aerospace Quality Management Systems), as mandated for all engineering personnel operating within the Buyer's Germany Berlin premises.
3.5 Invoicing shall be submitted monthly by the 5th business day for services rendered in the preceding calendar month. Payment shall be made via SEPA bank transfer to the account designated by the Supplier within 30 days of receipt of a valid invoice.
3.6 Either party may terminate this Purchase Order with a written notice period of 90 days. In the event of termination, the Supplier shall ensure a structured handover of all work-in-progress by the Aerospace Engineer, including source files, simulation data, and technical documentation, to be delivered to the Buyer's Germany Berlin facility within 14 days of the termination effective date.
3.7 All intellectual property developed by the Aerospace Engineer in the course of performing services under this Purchase Order shall be the sole property of the Buyer, in accordance with German patent law (Patentgesetz) and the terms of the Buyer's standard IP assignment agreement.
All services under this Purchase Order shall be performed at the Buyer's engineering facility located at Alexanderplatz 12, 10178 Germany Berlin. The Aerospace Engineer shall be present on-site a minimum of five (5) days per week, Monday through Friday, between the hours of 08:00 and 17:00 CET, unless otherwise agreed in writing by the Buyer's project management team. Remote work may be permitted for up to two (2) days per week subject to prior approval and compliance with the Buyer's information security policies applicable to operations in Germany Berlin.
This Purchase Order becomes binding upon signature by both parties. The Supplier acknowledges receipt of this Purchase Order and confirms acceptance of all terms, conditions, and the scope of work described herein for the engagement of the Aerospace Engineer in Germany Berlin.
Note: This Purchase Order has been prepared in accordance with the internal procurement policies of AeroDynamics Berlin GmbH and complies with all applicable regulations of the German Federal Ministry for Economic Affairs and Climate Action (BMWK) regarding aerospace industry contracts executed in Germany Berlin. A copy of this Purchase Order shall be retained in the Buyer's procurement records for a minimum period of ten (10) years as required by German commercial law (HGB § 257).
