This Purchase Order is issued to formally engage the services of a qualified Aerospace Engineer to support AeroDynamics Solutions GmbH in the design, analysis, and certification of next-generation composite airframe components. The Aerospace Engineer shall be physically stationed at the buyer’s primary engineering facility located in Germany Frankfurt, specifically at the Frankfurt Aerospace Innovation Campus, Hanauer Landstraße 210, 60314 Frankfurt am Main, Germany. All deliverables, meetings, and on-site technical reviews associated with this Purchase Order shall take place within the Germany Frankfurt metropolitan area unless otherwise agreed in writing by both parties.
The Aerospace Engineer is expected to hold a minimum of a Master’s degree in Aerospace Engineering or a closely related discipline, possess at least eight (8) years of progressive professional experience in structural analysis, aerodynamic optimization, or propulsion systems design, and maintain current professional registration with the Ingenieurkammer Hessen. The Aerospace Engineer must demonstrate proficiency in CATIA V6, ANSYS Fluent, NASTRAN, and MATLAB/Simulink, as well as working knowledge of EASA Part 21 and Part 145 regulatory frameworks applicable to aircraft certification in Germany and the European Union.

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Seller within ten (10) business days of the date of issue. Failure to respond within this period shall constitute a rejection of this Purchase Order.
- Performance Period: The Aerospace Engineer shall commence duties no later than 1 August 2025 and shall continue services for a period of twelve (12) months, subject to renewal by mutual written agreement. All work shall be performed at the designated facility in Germany Frankfurt unless a temporary remote arrangement is approved in writing.
- Payment Terms: Payment shall be made in quarterly installments of EUR 15,157.63 (inclusive of VAT) via SEPA bank transfer to the account specified by the Seller. Invoices must reference this Purchase Order number (PO-2025-FRA-AE-04782) and shall be due within thirty (30) days of receipt.
- Confidentiality & IP: The Aerospace Engineer shall sign a non-disclosure agreement (NDA) prior to commencing work. All intellectual property, design data, simulation results, and documentation produced under this Purchase Order shall remain the exclusive property of AeroDynamics Solutions GmbH. The Aerospace Engineer shall not disclose proprietary information to any third party, including within the broader Germany Frankfurt aerospace industry network, without prior written consent.
- Compliance: The Aerospace Engineer shall comply with all applicable German labor laws, data protection regulations (GDPR), and aviation safety standards enforced by the Luftfahrt-Bundesamt (LBA) and the European Union Aviation Safety Agency (EASA). The Seller warrants that the Aerospace Engineer holds all necessary professional qualifications and insurance coverage for work performed in Germany Frankfurt.
- Termination: Either party may terminate this Purchase Order with sixty (60) days’ written notice. In the event of material breach, termination may occur with fourteen (14) days’ notice. Upon termination, the Aerospace Engineer shall deliver all work-in-progress documentation to the Buyer’s Germany Frankfurt office within five (5) business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Germany Frankfurt.
This Purchase Order has been reviewed and authorized by the undersigned representatives of both parties. By signing below, each party acknowledges and agrees to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Aerospace Engineer in Germany Frankfurt.
