Scope of Work DescriptionThis Purchase Order is issued by Bavaria Aerospace Systems GmbH, headquartered in Germany Munich, to engage the services of a qualified Aerospace Engineer for the design, analysis, and certification support of next-generation composite airframe components. The Aerospace Engineer shall provide full-cycle engineering support in accordance with EASA Part 21 and Part 145 regulations applicable within the Germany Munich metropolitan industrial corridor. All deliverables under this Purchase Order must comply with the technical specifications outlined in Annex A and the quality management standards of ISO 9001:2015 as enforced by the local regulatory authority in Germany Munich.

Terms and Conditions1. Payment Terms: Net 30 days from invoice date. Payment shall be made via SEPA bank transfer to the account specified by the vendor. This Purchase Order is governed by the commercial laws of the Federal Republic of Germany, with jurisdiction vested in the Local Court of Munich I (Landgericht München I).
2. Delivery & Performance: All engineering deliverables produced by the Aerospace Engineer must be submitted to the Bavaria Aerospace Systems GmbH facility in Germany Munich no later than the dates specified in the line items above. Late delivery beyond five (5) business days entitles the buyer to a penalty of 0.5% of the affected line-item value per day of delay.
3. Intellectual Property: All designs, analyses, models, and documentation created by the Aerospace Engineer under this Purchase Order shall become the exclusive property of Bavaria Aerospace Systems GmbH upon full payment. The Aerospace Engineer grants a perpetual, irrevocable license for internal use within the Germany Munich operations and any affiliated entities.
4. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, proprietary processes, and business information exchanged in connection with this Purchase Order. This obligation survives termination for a period of five (5) years.
5. Quality Assurance: The Aerospace Engineer shall adhere to the quality management system requirements of EASA and the applicable DIN/EN standards. All work performed in Germany Munich must be traceable and auditable in accordance with the buyer's internal QA procedures.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Aerospace Engineer shall deliver all work-in-progress to the buyer's Munich facility within ten (10) business days.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, governmental actions, or pandemics affecting operations in Germany Munich or the broader European region.
