This Purchase Order is issued by West African Aerospace & Engineering Solutions Ltd. (hereinafter referred to as "the Buyer") to Stratosphere Technical Consulting Group (hereinafter referred to as "the Vendor") for the professional engagement of a qualified Aerospace Engineer to provide specialized technical consultancy, design oversight, and operational support services. The Aerospace Engineer shall be physically stationed at the Buyer's primary facility located in Ghana Accra and shall report directly to the Chief Operations Officer. The scope of this Purchase Order encompasses the full professional services of the Aerospace Engineer for a period of twelve (12) months, commencing on 1 July 2025 and concluding on 30 June 2026, unless otherwise extended by mutual written agreement.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon signature by both authorized representatives. All terms herein are governed by the laws of the Republic of Ghana, with jurisdiction vested in the courts of Ghana Accra.
2. The Aerospace Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Aerospace Engineering or an equivalent qualification recognized by the Ghana Engineering Council, and must possess at least ten (10) years of documented professional experience in aerospace design, manufacturing, or systems integration.
3. All work performed by the Aerospace Engineer shall be carried out at the Buyer's designated facility in Ghana Accra, specifically at 14 Independence Avenue, Airport Residential Area. The Aerospace Engineer shall comply with all local labor regulations, immigration requirements, and work permit conditions as stipulated by the Ghana Immigration Service.
4. Payment shall be made in Ghanaian Cedis (GHS) via bank transfer to the Vendor's designated account. Invoices must be submitted monthly by the 5th business day. Late payments shall attract interest at the rate of 2% per month as permitted under Ghanaian commercial law.
5. The Vendor warrants that the Aerospace Engineer shall maintain all necessary professional indemnity insurance with a minimum coverage of GHS 5,000,000, valid throughout the term of this Purchase Order.
6. Intellectual property generated by the Aerospace Engineer during the course of this engagement shall be the sole property of the Buyer. The Aerospace Engineer shall execute all necessary assignment documents upon commencement of work in Ghana Accra.
7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Aerospace Engineer shall return all proprietary materials and documentation to the Buyer's Ghana Accra office.
8. All disputes arising from this Purchase Order shall first be subject to mediation in Ghana Accra before proceeding to litigation. The parties agree to the jurisdiction of the High Court of Justice, Ghana Accra.
9. The Vendor shall ensure that the Aerospace Engineer adheres to all applicable standards set by the Ghana Civil Aviation Authority (GCAA), the International Civil Aviation Organization (ICAO), and any other relevant regulatory bodies operating in Ghana.
