This Purchase Order is issued by Orbital Dynamics & Aerospace Systems Pvt. Ltd. to engage the services of a qualified Aerospace Engineer through Stellar Aerospace Consulting LLP. The Aerospace Engineer shall be deployed at the buyer's facility located in India Bangalore and shall perform the duties, responsibilities, and deliverables outlined in the line items below. All work shall be conducted in compliance with the applicable regulations of the Directorate General of Civil Aviation (DGCA), the Bureau of Indian Standards (BIS), and the Defence Standards Organisation (DSO) as relevant to the project scope.

Terms and Conditions of this Purchase Order
- This Purchase Order constitutes a binding agreement between Orbital Dynamics & Aerospace Systems Pvt. Ltd. (hereinafter "the Buyer") and Stellar Aerospace Consulting LLP (hereinafter "the Vendor") for the provision of Aerospace Engineer professional services to be performed at the Buyer's premises in India Bangalore, Karnataka, India.
- The Aerospace Engineer assigned under this Purchase Order shall be a qualified professional holding a minimum of a Master's degree in Aerospace Engineering from a recognised Indian or international institution, with a minimum of ten (10) years of progressive experience in aerospace structural design, propulsion systems, or aerodynamics.
- All services shall be rendered at the Buyer's facility located in India Bangalore. The Vendor shall ensure that the Aerospace Engineer is available on-site for a minimum of forty-eight (48) hours per week, Monday through Friday, between 09:00 IST and 18:00 IST, subject to project exigencies.
- Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid tax invoice from the Vendor. Invoices shall reference this Purchase Order number (ODAS-PO-2025-0487) and shall be submitted to the accounts department at the India Bangalore office.
- The Vendor shall maintain all statutory compliances including but not limited to Professional Tax registration in Karnataka, EPF/ESI contributions for the Aerospace Engineer, and adherence to the Indian Income Tax Act, 1961, for TDS deductions as applicable.
- All intellectual property, design data, test results, and documentation generated by the Aerospace Engineer in the course of performing duties under this Purchase Order shall be the exclusive property of the Buyer. The Aerospace Engineer shall sign a Non-Disclosure Agreement (NDA) and an Intellectual Property Assignment deed prior to commencing work at the India Bangalore facility.
- The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, unsatisfactory performance, or force majeure. Upon termination, the Vendor shall be compensated for services rendered up to the effective date of termination.
- Any disputes arising out of or in connection with this Purchase Order shall be resolved by arbitration in India Bangalore in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be India Bangalore, and the language of arbitration shall be English.
- This Purchase Order shall be governed by and construed in accordance with the laws of India. The courts at India Bangalore, Karnataka shall have exclusive jurisdiction over any matters not resolved through arbitration.
- The Vendor warrants that the Aerospace Engineer shall not be concurrently engaged with any competing aerospace or defence organisation and shall devote full professional attention to the Buyer's project during the contract term.
