1. Scope of Engagement: This Purchase Order authorizes the Supplier to deploy qualified Aerospace Engineer personnel to perform the services described herein. All work shall be executed in Indonesia Jakarta unless otherwise specified in writing by the Buyer. The Aerospace Engineer(s) shall adhere to all applicable Indonesian labor laws, aviation regulations, and the technical specifications outlined in Appendix A of the master service agreement.
2. Payment Schedule: Payment shall be made in quarterly installments of 25% each, due within thirty (30) calendar days of the Buyer's receipt of a valid invoice from the Supplier. The first installment is due upon commencement of services in Indonesia Jakarta. All payments shall be processed via bank transfer to the Supplier's designated account in Indonesia Jakarta.
3. Performance Standards: The Aerospace Engineer shall deliver all technical reports, design packages, and certification documentation in accordance with the project milestone schedule. Failure to meet agreed milestones without prior written approval from the Buyer may result in a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10% of the total value.
4. Intellectual Property: All designs, analyses, models, and documentation produced by the Aerospace Engineer under this Purchase Order shall be the exclusive property of the Buyer. The Supplier and the Aerospace Engineer shall not reproduce, distribute, or utilize any deliverables for third-party purposes without written consent from the Buyer.
5. Confidentiality: The Supplier and all Aerospace Engineer personnel shall maintain strict confidentiality regarding all proprietary data, trade secrets, and technical information disclosed by the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all services rendered by the Aerospace Engineer up to the effective date of termination, plus any non-cancellable commitments already incurred in Indonesia Jakarta.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Indonesia Jakarta in accordance with the rules of the Indonesian National Board of Arbitration (BANI).
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or aviation regulatory changes affecting operations in Indonesia Jakarta.
Authorization & AcceptanceBy signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of Aerospace Engineer services in Indonesia Jakarta. This document constitutes a binding procurement instrument under the master service agreement dated 01 January 2025.
