  1. Delivery and Performance Location: All services under this Purchase Order shall be performed at the designated facilities in Iraq Baghdad, specifically the Baghdad International Airport Technical Complex and the Al-Yarmouk Industrial Zone. The Aerospace Engineer shall maintain a minimum on-site presence of three (3) days per week at the Baghdad location.
  2. Payment Terms: Payment for this Purchase Order shall be made in monthly installments within thirty (30) days of receipt of the corresponding invoice. All payments shall be processed in United States Dollars (USD) through the Central Bank of Iraq, Baghdad branch, via wire transfer to the supplier's designated account.
  3. Qualification Requirements: The Aerospace Engineer(s) assigned to this Purchase Order must hold a minimum of a Master's degree in Aerospace Engineering from an accredited institution, possess valid professional engineering licensure, and demonstrate a minimum of eight (8) years of progressive experience in aerospace design, manufacturing, or maintenance. The Senior Aerospace Engineer must additionally hold a Doctoral degree and a minimum of fifteen (15) years of experience.
  4. Compliance and Regulatory Adherence: All work performed under this Purchase Order must strictly adhere to the aviation regulations of the Republic of Iraq, ICAO Annexes, and applicable Iraqi Ministry of Industry and Mineral Resources directives. The Aerospace Engineer shall ensure all technical outputs meet the quality standards required for Iraqi aerospace operations in Baghdad.
  5. Intellectual Property: All technical documents, design specifications, engineering reports, and proprietary methodologies developed under this Purchase Order shall become the property of the Republic of Iraq upon full payment. The Aerospace Engineer shall not reproduce or distribute any such materials without written authorization from the issuing authority in Baghdad.
  6. Security and Access: The Aerospace Engineer shall comply with all security protocols established by the Iraqi Ministry of Interior for access to restricted aviation and defence facilities in Iraq Baghdad. Valid Iraqi work permits and security clearances must be obtained prior to commencing work.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Aerospace Engineer shall complete all in-progress deliverables and submit a final technical report to the Baghdad office within thirty (30) days of the termination date.
  8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce, with the seat of arbitration designated as Baghdad, Iraq.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, war, civil unrest, government sanctions, or other events beyond reasonable control, provided written notice is given within fourteen (14) days of the occurrence.

This Purchase Order constitutes a binding agreement upon signature by both parties. The Aerospace Engineer services described herein are procured to advance the aerospace engineering capabilities of Iraq Baghdad and to ensure the long-term sustainability of the national aviation infrastructure.
