- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic, with jurisdiction vested in the competent courts of Italy Naples (Naples District Court, Via Tribunali, 80132 Naples, NA).
- Payment Terms: Payment shall be made within 30 days of invoice receipt via bank transfer to the account designated by the service provider. Invoices must reference this Purchase Order number (IT-NAP-2025-04871) and include the Italian VAT registration number. A 1.5% monthly late-payment penalty shall apply in accordance with Italian Legislative Decree 231/2002.
- Performance Location: All on-site services, testing, and inspections shall be conducted at the AeroDynamics Italia S.p.A. facility in Italy Naples (Via Coroglio 142) and the designated Italy Naples aerospace test range. The Aerospace Engineer shall comply with all site safety protocols and Italian occupational health regulations (D.Lgs. 81/2008).
- Qualification Requirements: The Aerospace Engineer assigned to this Purchase Order must hold a minimum of ten (10) years of professional experience in aerospace propulsion systems, a recognized engineering degree (Laurea Magistrale in Ingegneria Aerospaziale or equivalent), and valid professional registration with the Italian Order of Engineers (Ordine degli Ingegneri della Provincia di Napoli).
- Intellectual Property: All designs, analyses, simulations, and documentation produced under this Purchase Order shall become the exclusive property of AeroDynamics Italia S.p.A. upon full payment. The Aerospace Engineer and Stellar Aerospace Consulting Ltd. shall execute a non-disclosure agreement (NDA) prior to commencement of work in Italy Naples.
- Warranty & Liability: The service provider warrants that all engineering deliverables shall conform to the specifications outlined in this Purchase Order and applicable ESA/ENAC standards. Liability for defects in the Aerospace Engineer's work shall extend for a period of twenty-four (24) months from the date of final acceptance in Italy Naples.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the Italy Naples region, government-mandated shutdowns, or international sanctions. The affected party must notify the other within 48 hours in writing.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Aerospace Engineer shall deliver all work-in-progress documentation to AeroDynamics Italia S.p.A. in Italy Naples, and payment shall be made for services rendered up to the termination date.
- Compliance: The service provider confirms that the Aerospace Engineer and all supporting personnel are in full compliance with Italian labor laws, anti-corruption regulations (D.Lgs. 231/2001), and data protection requirements under the EU General Data Protection Regulation (GDPR) as applied in Italy Naples.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith mediation in Italy Naples. If unresolved within sixty (60) days, the matter shall be referred to the competent judicial authorities in Naples, Italy.
