This Purchase Order is issued by AeroDynamics Italia S.p.A. to formally engage the services of a qualified Aerospace Engineer for the duration of the project period specified herein. The Aerospace Engineer, Ing. Marco Ferrante, shall provide specialized engineering consultancy, design oversight, and technical validation services for the development of next-generation satellite propulsion systems. All work under this Purchase Order shall be performed primarily at the AeroDynamics Italia facility located in Italy Rome, with the possibility of on-site inspections at partner laboratories within the greater Italy Rome metropolitan area.
The Aerospace Engineer shall be responsible for the following scope of work, as detailed in the line items below. This Purchase Order constitutes the binding agreement between both parties regarding the terms, deliverables, compensation, and obligations related to the Aerospace Engineer's professional engagement in Italy Rome.

All amounts are stated in Euros (EUR) and are subject to the applicable Italian Value Added Tax (IVA) at the current rate of 22%, unless otherwise exempt under Italian fiscal regulations governing professional services rendered in Italy Rome.
Payment for this Purchase Order shall be made in monthly installments, due within thirty (30) calendar days of the receipt of a valid invoice from the Aerospace Engineer. Invoices shall be submitted electronically to the procurement department of AeroDynamics Italia S.p.A. in Italy Rome. Late payments shall accrue interest at the rate prescribed by Italian commercial law (Codice Civile, Article 1284). The Aerospace Engineer shall provide a detailed timesheet accompanying each invoice, documenting hours worked and specific tasks completed under this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Rome, Italy Rome.
- Confidentiality: The Aerospace Engineer shall maintain strict confidentiality regarding all proprietary data, design specifications, and technical documentation accessed during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Intellectual Property: All work product, designs, analyses, and deliverables created by the Aerospace Engineer under this Purchase Order shall be the exclusive property of AeroDynamics Italia S.p.A. The Aerospace Engineer hereby assigns all intellectual property rights to the Purchasing Party.
- Work Location: Primary work shall be conducted at the AeroDynamics Italia facility in Italy Rome. The Aerospace Engineer may be required to travel to partner sites within the Lazio region as needed for this project.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Aerospace Engineer shall be compensated for all services rendered up to the effective date of termination.
- Insurance & Liability: The Aerospace Engineer shall maintain professional liability insurance with a minimum coverage of €1,000,000, compliant with Italian professional registration requirements (Ordine degli Ingegneri di Roma).
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Italy Rome.
- Compliance: The Aerospace Engineer shall comply with all applicable Italian labor regulations, safety standards, and aerospace industry certifications (including ENAC and ESA guidelines) throughout the duration of this Purchase Order.
