The Aerospace Engineer engaged under this Purchase Order must hold a minimum of fifteen (15) years of professional experience in aerospace systems design, possess a Doctorate or Master's degree in Aerospace Engineering from an accredited institution, and demonstrate prior involvement in at least three (3) successful orbital or sub-orbital vehicle programs. All deliverables, technical reports, and engineering documentation produced under this Purchase Order shall be prepared in both English and Japanese to ensure full compliance with the operational requirements of the Japan Tokyo facility and its multinational engineering team.

5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the provision of Aerospace Engineer services as described herein. All work shall be conducted at the designated facility in Japan Tokyo unless otherwise authorized in writing by the Director of Procurement.

5.2 The Aerospace Engineer shall adhere to all applicable Japanese labor laws, occupational safety regulations, and the specific site safety protocols established at the Japan Tokyo research facility. The Supplier shall ensure that the Aerospace Engineer maintains valid work authorization and any necessary professional licenses required to practice aerospace engineering in Japan.

5.3 Payment shall be made in Japanese Yen (JPY) via bank transfer to the account designated by the Supplier. Invoices are due within thirty (30) calendar days of receipt. Late payments shall incur an interest charge of 1.5% per month as stipulated under Japanese commercial law.

5.4 All intellectual property, technical data, design documents, and proprietary information generated by the Aerospace Engineer during the term of this Purchase Order shall be the exclusive property of Shinsei Aerospace Systems Corporation. The Aerospace Engineer shall sign a non-disclosure agreement (NDA) prior to commencing work at the Japan Tokyo facility.

5.5 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet performance milestones, or force majeure events affecting operations in Japan Tokyo.

5.6 Disputes arising from this Purchase Order shall be resolved through arbitration in Tokyo, Japan, in accordance with the rules of the Japan Commercial Arbitration Association (JCAA).
