This Purchase Order is issued by the Kuwait Aerospace & Defense Industries Authority (KADIA) to formally engage the services of a qualified Aerospace Engineer to support the ongoing modernization and design-validation programs conducted at the KADIA principal engineering facility located in Kuwait, Kuwait City. The Aerospace Engineer shall be responsible for the full spectrum of aerodynamic analysis, structural integrity assessment, propulsion system evaluation, and compliance verification in accordance with Kuwaiti civil aviation regulations and international aerospace standards (ICAO, FAA Advisory Circulars, and EASA Part 21). The engagement is specifically tailored to the operational requirements of the Kuwait City aerospace corridor and the national defense modernization roadmap approved by the Council of Ministers.

- Scope and Location: All services under this Purchase Order shall be performed by the designated Aerospace Engineer at the KADIA principal facility situated in Kuwait, Kuwait City, unless otherwise authorized in writing by the Project Director. The Aerospace Engineer shall comply with all site-access, security-clearance, and safety protocols established by KADIA for operations within Kuwait City.
- Qualifications: The Aerospace Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Aerospace Engineering (or equivalent discipline) from an accredited institution, possess a minimum of eight (8) years of progressive experience in aerodynamic design, structural analysis, or propulsion engineering, and maintain current professional licensure recognized by the Kuwaiti Engineering Society.
- Performance Standards: The Aerospace Engineer shall deliver all technical reports, simulation outputs, and design documentation in accordance with the project schedule attached as Appendix A to this Purchase Order. Deliverables are subject to review and acceptance by the KADIA Quality Assurance Division in Kuwait, Kuwait City.
- Payment Schedule: Invoicing shall be submitted on a monthly basis by the 5th working day of the following month. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice, in Kuwaiti Dinars, via bank transfer to the account designated by Meridian Aerospace Consulting LLC. Late payments shall accrue interest at the rate prescribed by Kuwaiti commercial law.
- Confidentiality and Data Security: The Aerospace Engineer shall treat all KADIA proprietary data, design drawings, and defense-related information as strictly confidential. All digital files shall be stored on KADIA-secured servers located in Kuwait, Kuwait City, and shall not be transmitted outside the Kingdom of Kuwait without prior written authorization from the KADIA Information Security Office.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Aerospace Engineer shall complete all in-progress deliverables and hand over all work-in-progress documentation to KADIA within fourteen (14) days of the termination effective date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Kuwait, Kuwait City, or by arbitration under the rules of the Kuwait Dispute Resolution Center.
- Insurance and Liability: The Aerospace Engineer shall maintain professional indemnity insurance with a minimum coverage of 250,000 KWD, valid throughout the term of this Purchase Order, and shall name KADIA as an additional insured party.
