- Scope of Work: The Aerospace Engineer engaged under this Purchase Order shall perform all duties in strict accordance with the technical specifications outlined in Annex A (attached separately). The Aerospace Engineer must hold a valid professional license (Cédula Profesional) issued by the Colegio de Ingenieros Aeronáuticos de México and possess a minimum of ten (10) years of documented experience in aerospace design and analysis.
- Place of Performance: All on-site activities, meetings, and technical reviews shall take place at the Buyer's primary facility located in Mexico Mexico City, CDMX. Remote work may be conducted at the Seller's office in Mexico Mexico City as mutually agreed upon in writing. The Aerospace Engineer shall ensure that all deliverables are submitted to the Buyer's project management office in Mexico Mexico City no later than the dates specified in the project timeline.
- Payment Schedule: Payment shall be made in three (3) installments: 40% upon execution of this Purchase Order, 40% upon completion of Items 001 through 004, and 20% upon final acceptance of the Technical Report (Item 006). All payments shall be made via bank transfer to the Seller's designated account in Mexican Pesos (MXN) within forty-five (45) calendar days of invoice receipt, in accordance with Mexican commercial law (Código de Comercio).
- Confidentiality: The Aerospace Engineer and the Seller acknowledge that all data, designs, and proprietary information related to Project Águila-7 are the exclusive property of Aerodinámica del Pacífico S.A. de C.V. No portion of this Purchase Order or its associated deliverables may be disclosed to third parties without prior written consent from the Buyer.
- Compliance with Mexican Law: This Purchase Order is governed by and shall be interpreted in accordance with the laws of the United Mexican States, specifically the federal regulations applicable to the aerospace sector in Mexico Mexico City and the national territory. Any disputes arising from this Purchase Order shall be resolved through binding arbitration administered by the Centro de Arbitraje y Conciliación (CEAC) in Mexico Mexico City.
- Warranty of Services: The Seller warrants that the Aerospace Engineer assigned to this Purchase Order shall perform all services with the skill, care, and diligence expected of a licensed professional in the aerospace engineering field in Mexico Mexico City. Any errors or omissions in the delivered work shall be corrected at no additional cost within thirty (30) days of written notice from the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered by the Aerospace Engineer up to the date of termination, less any applicable deductions for incomplete deliverables.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting Mexico Mexico City, government-mandated shutdowns, or acts of war, provided that the affected party notifies the other within five (5) business days.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of an Aerospace Engineer in Mexico Mexico City. This document constitutes a binding commercial agreement effective as of the date of the last signature.
