- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, including the Moroccan Commercial Code and applicable labor regulations. Any disputes arising from this Purchase Order shall be resolved by the competent commercial courts of Casablanca, Morocco.
- Place of Performance: All services under this Purchase Order shall be rendered at the Atlas Aerospace Industries facility in Casablanca, Morocco, unless otherwise agreed in writing by both parties. The Aerospace Engineer shall be present at the Casablanca site no fewer than five (5) working days per week.
- Intellectual Property: All designs, analyses, reports, and technical documentation produced by the Aerospace Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of Atlas Aerospace Industries SARL. The Aerospace Engineer assigns all intellectual property rights arising from the engagement to the company.
- Confidentiality: The Aerospace Engineer shall maintain strict confidentiality regarding all proprietary data, trade secrets, and technical information encountered during the performance of this Purchase Order. This obligation shall survive the termination of the contract for a period of five (5) years.
- Payment: Invoices shall be submitted monthly by the Aerospace Engineer to the procurement department in Casablanca. Payment shall be made via bank transfer to the account designated by the Aerospace Engineer within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated by Moroccan commercial law.
- Termination: Either party may terminate this Purchase Order with sixty (60) days’ written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
- Insurance & Liability: The Aerospace Engineer shall maintain professional liability insurance with a minimum coverage of 5,000,000 MAD, valid throughout the duration of this Purchase Order. The Aerospace Engineer shall be liable for damages caused by gross negligence or willful misconduct in the performance of assigned duties.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest affecting the Casablanca region, provided that the affected party notifies the other within forty-eight (48) hours.
- Compliance with Moroccan Regulations: The Aerospace Engineer shall comply with all applicable Moroccan labor laws, tax obligations, and professional licensing requirements. The Aerospace Engineer confirms that his professional license issued by the National Polytechnic Institute (INPT) in Casablanca is valid and in good standing for the duration of this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Aerospace Engineer in Casablanca, Morocco. This Purchase Order constitutes a binding agreement effective from the date of the last signature.
