Scope of Work – Aerospace Engineer EngagementThis Purchase Order is issued by Myanmar Aerospace & Defense Industries Co., Ltd. to formally engage the services of a qualified Aerospace Engineer for the design, analysis, and technical oversight of the Yangon Regional Aviation Maintenance Facility. The Aerospace Engineer shall be based in Myanmar Yangon and shall report directly to the Chief Technical Officer at our Hlaing Industrial Zone premises. The engagement covers a period of twelve (12) months, renewable upon mutual written agreement, and encompasses all technical responsibilities related to aircraft structural integrity assessment, propulsion system diagnostics, avionics integration planning, and compliance with the Myanmar Civil Aviation Authority (MCAA) regulatory framework.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. Any disputes arising from this Purchase Order relating to the Aerospace Engineer engagement shall be resolved through arbitration in Myanmar Yangon under the Myanmar Arbitration Centre rules.
2. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. Monthly consultancy fees (Line Item 1) shall be invoiced on the 25th of each month. All payments shall be made in Myanmar Kyat (MMK) via bank transfer to the vendor's designated account at the Myanmar Economic Bank, Yangon Central Branch.
3. Commencement and Duration: The Aerospace Engineer shall commence duties no later than 01 July 2025 at the Myanmar Yangon Hlaing Industrial Zone facility. The engagement period is twelve (12) months, extendable by mutual written consent no later than thirty (30) days prior to expiry.
4. Performance Standards: The Aerospace Engineer shall adhere to all applicable Myanmar Civil Aviation Authority regulations, ICAO standards, and the technical specifications outlined in Appendix A of this Purchase Order. Failure to meet performance milestones for two consecutive months shall constitute grounds for termination with thirty (30) days' written notice.
5. Intellectual Property: All designs, analyses, reports, and documentation produced by the Aerospace Engineer in the course of this Purchase Order shall be the sole property of Myanmar Aerospace & Defense Industries Co., Ltd. The Aerospace Engineer grants a perpetual, irrevocable license for internal use of all deliverables.
6. Confidentiality: The Aerospace Engineer agrees to maintain strict confidentiality regarding all proprietary information, technical data, and operational details encountered during the engagement in Myanmar Yangon. This obligation survives termination of this Purchase Order for a period of five (5) years.
7. Insurance and Liability: The Aerospace Engineer shall maintain professional indemnity insurance with a minimum coverage of MMK 500,000,000 throughout the engagement period. The vendor shall indemnify the buyer against any claims arising from negligence or professional malpractice.
8. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Aerospace Engineer shall complete all in-progress deliverables and hand over all work-in-progress documentation within fourteen (14) days of the effective termination date.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting Myanmar Yangon or the broader region.
Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Aerospace Engineer confirms availability to commence work in Myanmar Yangon on the stated date and agrees to the scope of services described herein. This Purchase Order constitutes a binding contractual agreement upon execution by both authorized signatories.
