1. Scope of Work: The Aerospace Engineer shall perform all duties as outlined in Section 3 of this Purchase Order. Any additional scope beyond the stated deliverables shall require a written amendment to this Purchase Order signed by both parties.
2. Commencement Date: The Aerospace Engineer shall report for duty at the NARDI facility in Nepal Kathmandu no later than 1 July 2025. A formal onboarding and site safety briefing will be conducted on the first working day.
3. Deliverables: All engineering reports, CAD models, simulation outputs, and certification documents shall be submitted in both digital (PDF, STEP, ANSYS project files) and hard-copy formats to the NARDI Project Manager within five (5) business days of task completion.
4. Quality Assurance: The Aerospace Engineer guarantees that all work shall conform to AS9100D quality management standards and the specific technical specifications provided by NARDI. A 90-day defect liability period applies to all design deliverables.
5. Confidentiality: The Aerospace Engineer agrees to maintain strict confidentiality regarding all proprietary data, flight test results, and design parameters encountered during the engagement in Nepal Kathmandu. A separate Non-Disclosure Agreement (NDA) is attached as Annexure A.
6. Intellectual Property: All work product, designs, and documentation created under this Purchase Order shall be the sole property of NARDI. The Aerospace Engineer retains no claim to the deliverables upon completion of payment.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Aerospace Engineer shall be compensated for all services rendered up to the termination date, plus a 10% completion penalty on unfinished tasks.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal. Any disputes shall be resolved through arbitration in Nepal Kathmandu under the Nepal Arbitration Act, 2055 (1998).

Payment shall be made in three (3) installments via bank transfer to the account of Stratosphere Engineering Solutions Pvt. Ltd. (Bank: Nabil Bank, Branch: New Baneshwor, Kathmandu, Account No.: 001-456789-01):

• Installment 1 (40%): NPR 1,714,210 – Due within 15 days of Purchase Order acceptance and commencement of work.

• Installment 3 (20%): NPR 857,105 – Due within 10 days of successful completion of on-site supervision (Item 05) and final acceptance by NARDI.

Payment is due within the stated periods from the date of invoice issuance. Late payments shall attract interest at the rate of 1.5% per month as per Nepal's prevailing commercial lending norms.

This Purchase Order constitutes a binding procurement commitment upon signature by both parties. The Aerospace Engineer, through Stratosphere Engineering Solutions Pvt. Ltd., acknowledges receipt of all technical specifications and site access protocols for the Nepal Kathmandu facility. By accepting this Purchase Order, the supplier confirms availability of the designated Aerospace Engineer for the full contract duration and compliance with all regulatory requirements of the Department of Aircraft Engineering, Nepal.

This Purchase Order (PO-NARDI-2025-0382) is valid for a period of ninety (90) days from the date of issue. Failure to execute within the validity period shall render this document null and void.
