5.1 This Purchase Order constitutes a binding agreement between the parties upon signature by both authorized representatives. All services shall be rendered in accordance with the specifications outlined herein and applicable Nigerian aviation regulations as enforced by the Civil Aviation Authority of Nigeria (CAA) in Nigeria Lagos.

5.2 The Aerospace Engineer and all supporting personnel must hold valid professional registrations with the Council for the Regulation of Engineering in Nigeria (COREN) and possess a minimum of ten (10) years of demonstrated experience in aerospace design, analysis, or certification. Proof of qualifications shall be submitted prior to commencement of work.

5.3 All deliverables, including but not limited to design drawings, computational fluid dynamics (CFD) analyses, finite element analysis (FEA) reports, and test data, shall be the exclusive intellectual property of NADRI upon full payment. The Aerospace Engineer shall not reproduce, distribute, or utilize such materials for any third party without prior written consent.

5.4 The Supplier shall maintain comprehensive professional indemnity insurance with a minimum cover of NGN 500,000,000, valid throughout the duration of this Purchase Order. Certificates of insurance shall be provided to NADRI before the commencement date.

5.5 Payment shall be processed via bank transfer to the Supplier's designated account in Nigeria Lagos. Invoices must reference this Purchase Order number (NGA-LAG-AE-2025-0047) and be accompanied by a detailed timesheet or milestone completion certificate signed by the NADRI Project Manager.

5.6 In the event of non-performance, the Supplier shall be liable for liquidated damages at a rate of 0.5% of the total contract value per day of delay, capped at 10% of the total contract value. NADRI reserves the right to terminate this Purchase Order with fourteen (14) days' written notice in cases of material breach.

5.7 All work shall comply with the Nigerian Standards (SON) and International Civil Aviation Organization (ICAO) standards. The Aerospace Engineer shall ensure that all designs meet the safety and performance requirements stipulated by the CAA Nigeria, Lagos Operations Division.

5.8 Disputes arising from this Purchase Order shall first be subject to mediation in Nigeria Lagos. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Arbitration and Conciliation Act (Cap A18, LFN 2004), with the seat of arbitration in Nigeria Lagos.

5.9 This Purchase Order is subject to the data protection provisions of the Nigeria Data Protection Act 2023. All personal data processed in connection with this engagement shall be handled in strict compliance with said Act.
