1. Scope of Work: This Purchase Order authorizes Global Aerospace Engineering Consultants Inc. to provide the professional services of qualified Aerospace Engineer personnel as itemized above. 2. Remote consultation hours may be performed from the Seller's office in Taguig City, Philippines Manila.

3. Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice. Invoices shall be submitted in Philippine Pesos (PHP) and must include the Seller's Tax Identification Number (TIN), the Purchase Order number (PAS-PO-2025-00847), and a detailed breakdown of hours or days rendered by each Aerospace Engineer assigned to the project. Payment shall be processed via bank transfer to the account designated by the Seller.

4. Intellectual Property: All designs, analyses, reports, and documentation produced by the Aerospace Engineer team under this Purchase Order shall become the exclusive property of Philippine Aerospace Solutions Corporation upon full payment. The Seller shall not reproduce, distribute, or utilize any proprietary data generated in the Philippines Manila project site for any other client without prior written consent.

5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, engineering drawings, and project information exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

6. Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Buyer shall compensate the Seller for all services rendered and documented by the Aerospace Engineer team up to the date of termination, plus any non-cancellable commitments already incurred.

7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from this Purchase Order shall be resolved through arbitration in Philippines Manila under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).

8. Acceptance: This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. The Seller's written acknowledgment of this Purchase Order shall constitute a binding agreement between the parties.
