The Aerospace Engineer engaged under this Purchase Order shall perform the following duties at the SARC facility in Russia Saint Petersburg:
- Design, model, and validate liquid-propellant and solid-propellant propulsion subsystems for the SARC-7 microsatellite constellation.
- Conduct finite element analysis (FEA) and computational fluid dynamics (CFD) simulations to ensure structural and thermal performance of aerospace components under launch and orbital conditions.
- Coordinate with the avionics and ground-segment teams to ensure the Aerospace Engineer’s propulsion designs integrate seamlessly with flight software and telemetry systems.
- Prepare and submit all technical documentation, test reports, and compliance certificates in accordance with Russian GOST standards, IEC 60068 environmental testing requirements, and applicable Federal Space Agency (Roscosmos) regulations.
- Attend weekly project review meetings held at the SARC headquarters in Saint Petersburg, Russia, and provide progress reports to the Chief Procurement Officer.
- Maintain strict adherence to the confidentiality and data-security protocols established by SARC for all classified aerospace engineering data.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation and applicable commercial legislation of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Arbitration Court of Saint Petersburg, Russia.
- Commencement Date: The Aerospace Engineer shall report to the SARC facility in Russia Saint Petersburg no later than 1 July 2025. The engagement period under this Purchase Order is twelve (12) months, subject to renewal by mutual written agreement.
- Payment Terms: Payment shall be made in Russian Rubles (RUB) via bank transfer to the account of Polaris Aerospace Engineering Solutions LLC. - Intellectual Property: All designs, analyses, reports, and deliverables produced by the Aerospace Engineer in the course of this Purchase Order shall be the exclusive property of SARC. The Aerospace Engineer and Polaris Aerospace Engineering Solutions LLC hereby assign all intellectual property rights to SARC upon creation.
- Confidentiality: The Aerospace Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All aerospace engineering data, satellite specifications, and propulsion parameters are classified as SARC proprietary information and must not be disclosed to any third party without written authorization.
- Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the Aerospace Engineer shall complete all in-progress deliverables and hand over all work-in-progress documentation to SARC within the notice period.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or acts of war, in accordance with Article 401 of the Russian Civil Code.
- Compliance: The Aerospace Engineer shall comply with all applicable Russian federal laws, Roscosmos regulations, and SARC internal safety and quality management procedures (ISO 9001:2015) while performing duties in Russia Saint Petersburg.
