- This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia and the Saudi Commercial Transactions Law. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Jeddah, Saudi Arabia.
- The Aerospace Engineer engaged under this Purchase Order must hold a valid degree in Aerospace Engineering or a directly related discipline from an accredited institution and must possess a minimum of 12 years of progressive professional experience in the aerospace sector.
- All work performed by the Aerospace Engineer shall be conducted in compliance with the regulations of the General Authority of Civil Aviation (GACA) of Saudi Arabia and the Saudi Standards, Metrology and Quality Organization (SASO).
- The supplier shall ensure that the Aerospace Engineer is fully acclimatized to working conditions in Saudi Arabia Jeddah, including adherence to local labour laws, working hours, and cultural protocols as stipulated by the Ministry of Human Resources and Social Development.
- Payment shall be made via bank transfer to the supplier's designated account in Saudi Arabia within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at a rate of 1.5% per month.
- The Aerospace Engineer shall be bound by a strict Non-Disclosure Agreement (NDA) covering all proprietary designs, manufacturing processes, and client information encountered during the engagement in Saudi Arabia Jeddah. The NDA shall remain in force for a period of five (5) years following the termination of this Purchase Order.
- The purchaser reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Aerospace Engineer fails to meet the performance benchmarks outlined in the attached Service Level Agreement (SLA).
- All intellectual property developed by the Aerospace Engineer during the term of this Purchase Order, while stationed in Saudi Arabia Jeddah, shall be the sole and exclusive property of the purchaser.
- The supplier warrants that the Aerospace Engineer shall not be engaged in any concurrent employment or consultancy that creates a conflict of interest with the purchaser's operations in the Saudi Arabian aerospace and defence sector.
- This Purchase Order becomes effective upon signature by both parties and shall remain valid for a period of twelve (12) months, renewable by mutual written agreement.
