1. This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. All disputes arising from this Purchase Order shall be resolved through the competent courts in Riyadh, Saudi Arabia.
2. The Aerospace Engineer personnel engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Aerospace Engineering from an accredited institution, with a minimum of eight (8) years of progressive experience in commercial or defense aerospace programs. Professional certification from the Saudi Council of Engineers is mandatory.
3. All work performed under this Purchase Order shall be conducted at the Buyer's designated facilities in Saudi Arabia Riyadh. The Supplier is responsible for arranging work permits, residency visas (Iqama), and all necessary governmental clearances for the Aerospace Engineer personnel prior to commencement of services.
4. Payment terms: Net 45 days from the date of receipt of a valid invoice and satisfactory completion of monthly deliverables. Payments shall be made via bank transfer to the Supplier's designated account in Saudi Arabia. All amounts are denominated in Saudi Riyal (SAR).
5. The Supplier warrants that all Aerospace Engineer services shall be performed in a professional, workmanlike manner and in full compliance with CAAS regulations, Saudi Industrial Standards Organization (SASO) requirements, and applicable ICAO Annex 14 and Annex 8 provisions.
6. Confidentiality: All technical data, design documents, and proprietary information accessed by the Aerospace Engineer team in the course of this Purchase Order shall be treated as strictly confidential. A separate Non-Disclosure Agreement (NDA) executed in Riyadh, Saudi Arabia, shall accompany this Purchase Order.
7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall compensate the Supplier for all services rendered up to the effective date of termination, plus reasonable demobilization costs for the Aerospace Engineer team.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government sanctions, or civil unrest within Saudi Arabia.
9. The Supplier shall maintain comprehensive professional indemnity insurance and workers' compensation coverage for all Aerospace Engineer personnel stationed in Riyadh, Saudi Arabia, for the duration of this Purchase Order.
10. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.

The services under this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, subject to renewal by mutual written agreement. The Aerospace Engineer team shall report to the Buyer's project management office located in the Olaya District, Riyadh, Saudi Arabia, no later than 08:00 AM Saudi Arabia Standard Time (AST) on the first business day of each month.
