2. Description of Services — Aerospace Engineer Engagement

This Purchase Order is issued by Sahel Aerospace & Advanced Technologies S.A. to formally engage the services of a qualified Aerospace Engineer to perform critical design, analysis, and oversight functions for the Senegal Dakar regional aerospace infrastructure development program. The Aerospace Engineer shall be deployed to the project site located in the industrial zone of Diamniadio, approximately eighteen (18) kilometers southeast of central Senegal Dakar, where the Buyer is constructing a satellite ground-station facility and an associated unmanned aerial vehicle (UAV) maintenance hangar.

The Aerospace Engineer shall hold a minimum of a Master's degree in Aerospace Engineering or a closely related discipline, possess no fewer than ten (10) years of progressive professional experience in structural analysis, propulsion systems, or avionics integration, and demonstrate prior experience working in West African operational environments. The Aerospace Engineer must be fluent in both English and French to facilitate effective communication with local Senegalese technical staff, government regulatory authorities in Senegal Dakar, and international partners.

4. Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal, particularly the Senegalese Code of Obligations and the West African Economic and Monetary Union (WAEMU) commercial regulations applicable in Senegal Dakar.
  2. Payment Schedule: Payment shall be made in three (3) installments: thirty percent (30%) upon execution of this Purchase Order and commencement of work in Senegal Dakar; forty percent (40%) upon completion of deliverables 3.1 through 3.3; and the remaining thirty percent (30%) upon final acceptance of deliverable 3.6 by the Buyer's technical review board in Senegal Dakar.
  3. Work Location: All on-site services shall be performed at the designated project premises in Diamniadio, Senegal Dakar. The Buyer shall provide the Aerospace Engineer with appropriate workspace, access to project documentation, and necessary safety equipment in compliance with Senegalese occupational health and safety standards.
  4. Visa and Work Permits: The Buyer shall be responsible for obtaining and renewing all necessary work permits, professional visas, and residency authorizations required for the Aerospace Engineer to legally perform services within the territory of Senegal, specifically in the Dakar region, in accordance with Senegalese immigration law.
  5. Insurance: The Supplier shall maintain comprehensive professional liability insurance and personal accident insurance covering the Aerospace Engineer for the full duration of the engagement in Senegal Dakar, with a minimum coverage of 50,000,000 XOF per occurrence.
  6. Confidentiality: All technical data, design drawings, proprietary information, and project documentation exchanged under this Purchase Order shall be treated as strictly confidential. The Aerospace Engineer shall not disclose any information pertaining to the Senegal Dakar aerospace infrastructure program to any third party without prior written consent from the Buyer.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for all work satisfactorily completed up to the termination date, as verified by the Buyer's project manager in Senegal Dakar.
  8. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within sixty (60) days, the dispute shall be submitted to arbitration under the rules of the West African Court of Justice, with the seat of arbitration in Senegal Dakar.
  9. Compliance: The Aerospace Engineer shall comply with all applicable Senegalese laws, regulations, and local customs while performing services in Senegal Dakar, including but not limited to environmental protection statutes, labor regulations, and aviation safety directives issued by the DGAAC.
5. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Aerospace Engineer in Senegal Dakar. This document constitutes a binding contractual agreement effective from the date of the last signature.
