Payment for this Purchase Order shall be made in monthly instalments via SEPA bank transfer to the IBAN specified in Section 1. The first payment is due within thirty (30) calendar days of the invoice date. All invoices must reference Purchase Order number PO-2025-ES-BCN-0472. Late payments shall accrue interest at the rate established by the Spanish Ley de Morosidad (Royal Decree-Law 4/2013). The Aerospace Engineer shall issue a valid Spanish VAT invoice (factura) for each monthly payment.
5. Terms and Conditions- All services rendered under this Purchase Order shall be performed exclusively within the jurisdiction of Spain Barcelona, in compliance with Spanish labour law (Estatuto de los Trabajadores) and applicable autonomous community regulations of Catalonia.
- The Aerospace Engineer shall maintain valid professional registration with the Colegio Oficial de Ingenieros Aeronáuticos de España and shall provide proof of professional indemnity insurance with a minimum coverage of €1,000,000 per claim.
- Intellectual property generated during the execution of this Purchase Order shall be the sole property of Aeronáutica Ibérica S.L., with the Aerospace Engineer retaining authorship credit as defined in Spanish Intellectual Property Law (Real Decreto Legislativo 1/1996).
- Confidentiality obligations shall survive the termination of this Purchase Order for a period of five (5) years. All technical data, design files, and test results are classified as proprietary to the issuing entity.
- The Aerospace Engineer shall comply with all EASA, AENA (Aeropuertos Nacionales), and local Barcelona municipal regulations pertaining to aerospace testing and development activities conducted within the city limits of Spain Barcelona.
- Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Aerospace Engineer shall deliver all work-in-progress documentation and source files to Aeronáutica Ibérica S.L. within fourteen (14) days.
- Disputes arising from this Purchase Order shall be resolved by the competent courts of Barcelona, Spain, in accordance with Spanish civil and commercial law.
